Overview:Provide legal and contract support services to all parts of the An In-House Firm business organization within the Western Hemisphere. Be an effective and trusted business partner to Western Hemisphere operating and sales managers. Keep An In-House Firm Assistant General Counsel well informed.
Accountabilities:
Review and Negotiate Customer and Supplier Contracts in an Operations Oriented and Business Savvy Manner (60%)
- Manage and minimize legal, contract, and other commercial risks to the business so as to facilitate the efficient and profitable performance of An In-House Firm operations throughout the Western Hemisphere.
- Assist with contract reviews, contract drafting and implementation of commercial best practices.
- Be a trusted business partner to Western Hemisphere managers in an effort to grow the business regionally.
- Provide legal, contract, and commercial advice and services throughout the Western Hemisphere.
- Provide contract advice to business partners, including contract revisions as appropriate.
- Develop a variety of operations and other commercial contracts to facilitate An In-House Firm's business in the Western Hemisphere.
- Assist General Counsel and Assistant General Counsel with compliance related matters.
- Bring a value added viewpoint to the business decision making process throughout the region.
- Provide legal advice and services related to risk, claims, and litigation (including contract disputes, incident management, and employment matters) with the assistance of Assistant General Counsel.
- Help to manage outside counsel functions and fees in the Western Hemisphere with the advice and consent of An In-House Firm Assistant General Counsel.
- Manage litigation and claims such that they do not have a “material adverse effect” on the business.
- Understand and protect An In-House Firm's intellectual property, patents, trademarks and branding.
- Keep a careful eye on business development and contract management throughout the Western Hemisphere and keep An In-House Firm Assistant General Counsel well informed.
- Keep a careful eye on compliance issues throughout the Western Hemisphere and report them to Assistant General Counsel
Education and Experience:
- US law degree with bar admission.
- Minimum of 5 years of transactional or litigation experience with a company or law firm .
- Practical understanding of business contracts with expert drafting skills is a plus.
- Fluent in English. Spanish is a plus.
- Good organization skills and ability to manage different competing priorities.
- Strong interpersonal and communication skills at all levels within a multicultural environment.
- Personal presence and presentation skills that will inspire confidence in business partners.
