Overview:
As a part of a small and collegial legal team, you will support A Property Management Company in Boston, Massachusetts internal and external business partners, on a wide range of legal issues including contracts, litigation, and corporate transaction working with team members in business development, operations, sales, revenue management, distribution, marketing, brand, IT, finance, human resources, corporate compliance, insurance, and risk management. You will work directly with members of the Corporate Office and Operations Teams.

In addition to these responsibilities, you will be responsible for a wide range of matters such as drafting, reviewing and negotiating contracts; identifying and advising internal clients on a variety of legal issues; supervising outside counsel; managing litigation and providing general legal support to the company.

Principle duties and responsibilities include:
  • Draft, review and negotiate a variety of contracts including management agreements, franchise agreements, transactional documents, corporate consents, secretary certificates, limited liability company operating agreements mutual releases, confidentiality agreements.
  • Advise internal clients on contract interpretation and legal ramifications of contract terms.
  • Partner with team members and provide legal advice on a range of matters including identifying risks and issues and suggesting alternative solutions.
  • Provide legal review of documents to ensure compliance with applicable law and company policies.
  • Contribute to the Legal Team's ongoing efforts to create, maintain and update contracting templates and forms.
  • Coordinate with other company departments and legal team members to ensure proper tracking and delivery of legal services, analysis and storage of legal documents, and compliance with legal imperatives.
  • Such other activities that may arise and that may be necessary or helpful in furthering the company's growth, mitigating risk, and protecting its legal interests.
  • Assist with discovery, due diligence and record review for loan transactions and litigation.
  • Drafting and review of consulting agreements, Master Service Agreement, distribution, marketing, brand, and licensing agreements.
  • Familiarity with labor, employment, wage and hour and immigration laws.

Qualifications:
Education and Qualifications include:
  • J.D. from an accredited law school
  • Current admission to the bar of any U.S. State or the District of Colombia
  • Minimum of 4 to 6 years' experience, primarily in real estate, corporate, contracts, and transactional work, preferably at a mid-size or large law firm, or comparable in-house or governmental experience. Experience in hospitality law is preferred.
  • Shows initiative in staying current with laws and regulations relevant to the business. Working knowledge of data protection and privacy is preferable but not required.
  • Strong organization and follow-through skills, keen attention to detail, sound judgment and common sense approach to problem solving.
  • Excellent written and oral communication skills, both in legal writing and general communications.
  • Strong people skills to manage negotiation and interaction with opposing counsel, and coordinate with Corporate Office and Operations Teams.
  • An ability to work within a team, as well as independently, to produce high quality work product.
  • A willingness to be flexible and proactive in solving complex challenges.
  • Ability to thrive in a high-energy, fast-paced environment.
  • Minimal travel may be required.
