The Manager, Finance Transaction Counsel will be part of the global transaction legal group and serve as front-line legal counsel, independently managing deal documentation and participating in deal strategy across A Global Advisory, Restructuring & Investment Firm' business lines in the Americas, with a focus on A Global Advisory, Restructuring & Investment Firm' asset-based lending business. The successful candidate will exercise superior judgment and will work closely and seamlessly with business leaders and with the other lawyers within the global legal department to execute transactions, enhance A Global Advisory, Restructuring & Investment Firm' market reputation, and identify and resolve legal issues as needed to minimize risk while facilitating A Global Advisory, Restructuring & Investment Firm' business objectives.

Job Responsibilities/Essential Job Functions
  • Draft, negotiate, and review primary and ancillary legal documentation, including asset-based financing and related documents, non-disclosure agreements, , stock and debt purchase agreements, joint venture agreements, and other documents, contracts, and instruments. Assume primary responsibility for ensuring that both deal concepts and legal details are accurately and completely reflected in deal documentation.
  • Support oversight of, and coordination with, outside counsel.
  • Support resolution of post-closing legal related issues.
  • Identify and advise on legal risks and provide commercially focused suggestions for the mitigation and/or resolution of those risks.
  • Coordinate with corporate executives on administrative aspects of transactions.

Education, Experience
  • 5 or more years of experience within a nationally recognized law firms and/or corporations with a focus on asset-based lending and secured transactions.
  • Juris Doctor degree from an accredited law school, and bar admission in good standing in any state, are required. Candidate will be required to obtain limited in-house license in the Commonwealth of Massachusetts.

Knowledge, Skills, Abilities:
  • The ability to manage multiple projects, establish priorities, organize responsibilities, and focus on details is required.
  • The ability to meet deadlines and balance competing objectives is required.
  • Experience with bankruptcy and restructuring is preferred.
  • The successful candidate will be a thinker, draftsperson, and communicator who thrives in a dynamic, entrepreneurial and transaction-driven business. They will have excellent verbal and written communications skills.
  • A strong knowledge of the Microsoft Office suite (i.e. Word, Excel and PowerPoint) is required.
  • Travel may be required.
  • The willingness and ability to respond to business and client needs outside of normal working hours is required.
