Description:

We are seeking an entrepreneurial legal counsel to join our legal team in the US. You will provide legal guidance and solutions, through research, contract negotiation, litigation, policy, creation, and employee training to help address various strategic matters with legal implications.

Location:
The role is open to other cities and states, including: San Francisco, California, Texas, Washington, New York, and so on.

What you will be responsible for:
  • Act as a trusted advisor to the business by engaging closely with the legal team and business leaders to provide practical legal advice and support on a variety of legal topics relating to our business and product offerings.
  • Manage and support legal disputes and litigation, including supplier and customer disputes.
  • Draft, negotiate, and advise on a wide range of contracts including supply agreements, real estate agreements, MOUs, NDAs, licensing agreements, master service agreements, SaaS, IT agreements.
  • Provide legal support on project financing transactions, including support on deal structure, due diligence, drafting and negotiating agreements, and managing deal process and execution.
  • Support on corporate governance matters in North America, including drafting board resolutions, operating agreements, articles of association and advising on board appointments, corporate entity restructuring activity and corporate governance best practices.
  • Support the continuous improvement of the legal team's processes, including development of and updates to standard form agreements and templates, to facilitate business growth and expansion.

How you will stand out:
  • Juris Doctor or equivalent degree and licensed to practice in at least one state in the U.S.A.
  • At least 5 years of relevant experience in an in-house legal department and/or law firm.
  • Strong experience in dispute resolution through the mediums of litigation, arbitration and mediation.
  • Broad legal knowledge and experience is a plus (corporate law, contracts, corporate governance, etc.)
  • Comfortable working independently and globally, handling ambiguity, prioritizing multiple projects, and meeting goals and deadlines in a face-paced environment.
  • Ability to tackle complex matters with a solutions-oriented mindset.
  • Excellent analytical, problem-solving, writing, and communication skills.
  • Ability to exercise discretion and judgment with the handling of highly sensitive and confidential information.
