This role would be a part of A Software-Defined Enterprise Cloud Computing Company highly regarded legal department, reports to the VP, Deputy General Counsel. Your Role:
  • Ensure compliance with securities laws and Nasdaq listing requirements
  • Provide guidance on potential impact of new securities laws and corporate governance trends
  • Draft and review SEC filings, including proxy statements, 10-Ks, 10-Qs, 8-K's, S-8's, Form SDs, Section 16 filings, and support public company governance and compliance matters
  • Collaborate with finance, accounting, investor relations, and public relations teams
  • Support the Board of Directors and its committees
  • Create and maintain corporate governance policies and procedures
  • Assist in administering global equity programs
  • Support M&A and strategic transactions
  • Serve as a resource on corporate and securities legal matters

What you will bring:
  • J.D. from a well-recognized law school
  • Admission to a state bar, preferably California
  • 5+ years of legal experience
  • Prior in-house experience a strong plus
  • Superior communication and analytical skills
  • Experience working directly with board members and senior management
  • Effective collaboration and autonomy
  • Negotiation and creative thinking skills
