Overview of Role:
A Semiconductor Manufacturing Company is looking for a Corporate Counsel member to join its team at our office in San Jose, CA. The ideal candidate will have strong organizational skills, the ability to work under pressure, both effective and efficient processing/prioritizing of multiple projects with competing deadlines, and a consistent high-level of accuracy and attention to detail. A successful candidate will also need to have good interpersonal skills combined with the desire and capability to work in a dynamic, team-oriented environments. We are currently working in a hybrid work schedule with 3 days in the office.

Responsibilities:
  • Collaborate and partner with internal technical and sales professionals to win business and strengthen customer relationships.
  • Negotiate and draft technology transaction agreements, such as nondisclosure agreements, technology licensing agreements, and manufacturing agreements.
  • Collaborate and partner with foundry professionals to ensure smooth and efficient foundry operations.
  • Negotiate and draft procurement agreements.
  • Conduct legal research and provide legal analysis on issues in various areas such as contract law, employment law, and export regulations.
  • Assist internal clients in complying with TSMC's legal processes (such as a contract management process).
  • Assist in creating and maintaining standard commercial transaction templates for recurring engagements.
  • Advise internal clients and ensure best practices in diverse legal areas.
  • Assist in inter- or intra-departmental projects such as corporate compliance activities and TSMC's contract process.

Minimum Qualifications:
Education:
  • JD degree with a strong academic record.
  • Minimum of 5-8 years of legal experience with an emphasis on drafting and negotiating technology transaction contracts and procurement contracts.
  • Moderate business travel required.
  • Motivated and detail-oriented; capable of prioritizing and multi-tasking in a fast-paced environment.
  • Excellent communication and presentation skills; capable of articulating complex concepts and solutions.
  • Demonstrated leadership with good facilitation and negotiation skills to secure support and guide cross-functional teams in achieving goals.
  • Ability to work both independently and as a team player.

Preferred Qualifications:
  • Members of the California or Washington Bars preferred.
  • Semiconductor industry experience preferred.
  • Mandarin speaking/writing is preferred.
