We are looking for an experienced and motivated individual to fill the position of Senior Counsel within our Legal Team based in Lakewood, CO, Leawood, KS, or Houston, TX. This individual will provide land and environmental permitting support as well as commercial transactional support for a diverse range of midstream assets including oil, gas, decarbonization and other energy transition assets, as well as commodity trading businesses.

The Senior Counsel will report to the Vice President-Associate General Counsel and Chief FERC Compliance Officer. This role within A Leading Energy and Infrastructure Company will operate in a high-performing, fast-paced, and multi-disciplinary setting.

The ideal candidate should be able to:
  • Draft and negotiate commercial contracts in support of midstream assets, e.g., precedent agreements, transportation services agreements, storage agreements, power purchase agreements, MOU/LOI, and confidentiality agreements.
  • Draft and negotiate commodity purchase agreements, e.g., NAESB, ISDA, and carbon offset agreements.
  • Support land and environmental permitting efforts for midstream projects, e.g., experience with county land use permits, BLM right-of-way grants.
  • Experience working on tribal matters a plus.
  • Advise the commercial team on legal implications, risks, and opportunities associated with various commercial structures under consideration and support the commercial team in achieving commercial objectives consistent with legal risks and implications.
  • Engage on projects nationwide across multiple industry sectors.
  • Provide strategic and drafting advice concerning indemnity provisions and insurance requirements in a variety of contracts.
  • Communicate effectively, and on a timely basis, with technical consultants, community partners, senior management, and co-workers.
  • Demonstrate a willingness to learn new areas to develop a career within A Leading Energy and Infrastructure Company.
  • Other special projects or duties as identified and defined.
  • Attend and participate in staff meetings, other internal meetings, and meetings with customers, investors, partners, and other third parties as requested.
  • Maintain a high regard for personal safety, the safety of company assets and employees, and the general public.

Required Qualifications:
  • Juris Doctor degree from an accredited law school; strong academic credentials
  • Preferred five (5) to seven (7) years of relevant legal experience supporting midstream business with a leading law firm or within the industry
  • Communicate effectively, and on a timely basis, with regulators, technical consultants, community partners, senior management, and co-workers.
  • Work independently, while also thriving in a team-based environment; know when to seek assistance.
  • Experience managing budgets.
  • Rigorous professional ethics.
  • Large law firm experience a plus.
  • Adapting quickly in a dynamic, fast-paced work environment to successfully multi-task and manage deadlines to proactively complete transactions.
  • Taking the initiative by being action-oriented, immediately responsive to your client, and seeking opportunities for personal improvement.

Certifications, Licenses & Registrations:
  • Must be licensed to practice law in the U.S. and either licensed or eligible to waive into the local bar.
  • Must possess and maintain a valid driver's license and a driving record satisfactory to the Company and its insurers (for travel).
