Position Summary:G. Ortega Law is seeking an experienced and motivated Senior Associate Attorney to join our growing practice in Houston, Texas.
The ideal candidate will have substantial experience in business law, commercial transactions, banking, commercial real estate, contract negotiation, civil litigation, and general corporate matters. This individual will independently manage both transactional and dispute-related client matters, advise business owners and financial institutions, negotiate complex transactions, represent clients in civil and commercial litigation matters, and serve as a trusted legal advisor to clients across a variety of industries.
The Senior Associate Attorney will work closely with firm leadership and play a critical role in supporting the firm's business clients through all stages of growth, financing, operations, dispute resolution, and strategic decision-making.
Essential Duties and Responsibilities:
To perform this job successfully, an individual must be able to perform the following duties satisfactorily. Other duties may be assigned.
- Serve as outside general counsel for business clients across various industries.
- Draft, review, negotiate, and advise clients on commercial contracts and business agreements.
- Counsel clients on business formation, governance, compliance, and risk management matters.
- Lead commercial real estate transactions, including acquisitions, dispositions, financing, and leasing matters.
- Draft and negotiate commercial lease agreements on behalf of landlords and tenants.
- Represent lenders and borrowers in commercial lending transactions and loan closings.
- Review and prepare loan documentation, modifications, renewals, and workout agreements.
- Negotiate forbearance agreements and debt restructuring arrangements.
- Manage trademark searches, applications, registrations, and related intellectual property matters.
- Represent business clients in pre-litigation disputes and civil litigation matters, including contract disputes, business tort claims, commercial collections, landlord-tenant disputes, and other business-related litigation.
- Manage all phases of litigation, including case assessment, pleadings, discovery, depositions, motion practice, mediation, settlement negotiations, and trial preparation.
- Develop litigation and dispute resolution strategies that align with clients' business objectives and risk tolerance.
- Conduct legal research and provide business-focused legal guidance to clients.
- Prepare legal memoranda, corporate documents, resolutions, opinions, pleadings, and correspondence.
- Communicate directly with clients regarding legal strategy, transaction status, litigation matters, and business objectives.
- Manage multiple client matters simultaneously while maintaining exceptional client service.
- Participate in business development initiatives and foster relationships with clients and referral partners.
- Collaborate with attorneys, paralegals, and support staff to ensure efficient matter management.
- Stay current on legal developments affecting business, banking, real estate, intellectual property, and civil litigation matters.

Qualifications:
- J.D. from an accredited law school
- Active Texas Bar license in good standing
- 5+ years of experience in business law, commercial transactions, civil litigation, or a combination thereof
- Experience independently managing client matters from inception through resolution
- Experience handling litigation matters through discovery, motion practice, mediation, and settlement
- Strong drafting, negotiation, advocacy, and case management skills
