Baker Botts L.L.P. is seeking an energy associate with 4 – 6 years of experience at an Am Law 100 firm to join our Houston office. The ideal candidate will have a broad transactional practice focused on energy M&A and projects, with experience advising clients on complex energy transactions, including acquisitions and divestitures, joint ventures, project development and financing, and other commercial arrangements. The candidate should have strong transactional skills and the ability to advise clients across the full lifecycle of sophisticated energy transactions.

Responsibilities:
  • Advise energy companies, private equity sponsors, infrastructure investors and other clients on a broad range of M&A and transactional matters.
  • Represent clients in acquisitions, divestitures, joint ventures, strategic investments and other corporate transactions involving energy and infrastructure assets.
  • Support clients on energy projects, including project development, project financings, commercial arrangements and related regulatory and corporate matters.
  • Draft and negotiate purchase and sale agreements, joint venture agreements, development agreements, financing documents and other transaction-related agreements.
  • Manage substantive aspects of transactions, including due diligence, transaction structuring, negotiations and closing.
  • Work closely with partners and clients and coordinate with attorneys across multiple practice areas and offices.
  • Take an active role in mentoring and developing junior associates and contribute to the continued growth of the Houston energy practice.

Qualifications:
  • J.D. from an accredited law school and admission to the Texas Bar.
  • 4–6 years of substantive transactional experience at an Am Law 100 firm.
  • Broad experience in energy M&A and/or energy projects, with experience across multiple types of energy transactions strongly preferred.
  • Experience with acquisitions, divestitures, joint ventures, project development, project finance or related commercial transactions.
  • Strong drafting, negotiation, analytical and communication skills.
  • Ability to manage multiple matters and work effectively in a fast-paced, collaborative environment.
  • Demonstrated ability to work independently while also contributing effectively as part of a deal team.
  • A genuine interest in the energy industry and desire to build a long-term practice in Houston.
