Mayer Brown's Salt Lake City office is seeking a highly qualified associate to join our Emerging Companies & Venture Capital (ECVC) practice. Qualified candidates will have 3 to 5 years of experience representing startups/emerging growth and technology companies, their founders, and venture capital investors across all stages of the company lifecycle. The ideal candidate will come from a nationally recognized practice known for advising high-growth startups and the venture capital ecosystem, with deep fluency in the legal and commercial frameworks that drive ECVC transactions.

Responsibilities include counseling founders and emerging companies on entity formation, corporate governance, and equity incentive structures; drafting and negotiating venture capital financing documents (including preferred stock purchase agreements, investors' rights agreements, voting agreements, and rights of first refusal and co-sale agreements); advising on convertible note and SAFE transactions; and counseling clients on general corporate matters throughout the growth cycle from seed stage through late-stage and pre-IPO. The position will include working closely with attorneys across our corporate, equity compensation, M&A, capital markets, life sciences, and technology practices.

Qualified candidates will have substantive experience in venture capital financings, emerging company representation, and technology transactions gained at a leading firm with a premier emerging companies or startup-focused practice. Candidates should demonstrate familiarity with market-standard venture financing terms and documentation, including NVCA model documents, and should have experience advising both company-side and investor-side clients in the venture capital context. Experience with Delaware corporate law, startup equity compensation plans (including stock option plans, RSU programs, and 409A valuations), and corporate governance for privately held technology companies is strongly preferred.

Strong law school academic credentials together with relevant and sophisticated law firm and transaction experience are required. Bar admission (or eligibility to obtain admission promptly) in the home office location is required.

The salary for this position is $260,000 to $365,000, although the actual salary could be lower or higher if the candidate's skills and experience level are different from those specified above.
