Job Description:A Real Estate Investment Trust Company, an NYSE-listed public company, is seeking a corporate securities and governance attorney to join its team of legal professionals. The position reports to a senior corporate attorney and will be responsible for providing significant support with respect to 1933 Act, 1934 Act and corporate governance matters. A successful candidate must be detail-oriented and have the ability to work independently while managing multiple priorities and deadlines.
Responsibilities:
- Assist with the preparation and filing of various filings with the U.S. Securities and Exchange Commission, including; Forms 10-K, 10-Q and 8-K; Section 16 filings; registration statements; and proxy statements;
- Provide counsel in the areas of capital markets transactions and corporate finance matters, including mergers and acquisitions, securities offerings and repurchase and credit facilities;
- Handle corporate governance matters, including the preparation of board and committee meeting materials;
- Assist in developing and maintaining policies and procedures to ensure continuing compliance with SEC and NYSE rules and regulations and support other internal compliance functions; and
- Draft and negotiate a wide array of general corporate agreements, including service agreements, non-disclosure agreements and other commercial contracts.
Qualifications:
- JD from an ABA accredited law school and excellent academic credentials;
- State Bar membership in one or more states;
- 4-7 years of relevant corporate law experience, with an emphasis in securities and corporate governance matters;
- Versatility, maturity and ability to work both independently and as part of a team; and
- Excellent oral and written communication skills.
