Shaping The Future of Power Solutions's team members are our most important asset, and we are seeking a strategic and experienced General Counsel to develop and lead Shaping The Future of Power Solutions's legal function. This leadership role will oversee all legal matters, primarily in the areas of contracts, corporate governance, compliance, risk management, litigation, and legal strategy. The General Counsel will serve as a trusted advisor to and member of the senior leadership team and play a critical role in supporting Shaping The Future of Power Solutions's growth.

In this role you will get to:
  • Lead and manage all legal affairs of the company, with a strong emphasis on corporate governance, commercial contracts, and litigation.
  • Advise on corporate governance, entity management, and board matters.
  • Draft, review, and negotiate a wide variety of contracts (i.e. customer, vendor, lease, NDA, licensing, real estate).
  • Provide legal support for litigation, disputes, and employment compliance and legal matters, including coordination with external counsel.
  • Support mergers and acquisitions activity, including pre-close legal coordination and post-acquisition integration.
  • Ensure compliance with federal, state, and international regulations (e.g., data privacy, environmental, import/export), including non-US geographies.
  • Identify and mitigate legal risks across business operations.
  • Develop and maintain internal policies and procedures.
  • Identify and manage relationships with external legal counsel.
  • Manage legal costs and budget.
  • Grow and develop the legal function as required with the growth and needs of the business.

Qualifications:
  • Juris Doctor (JD) from an accredited law school
  • Licensed and in good standing to practice law in a state or territory of the United States
  • Minimum 7 years of legal experience, preferably in a corporate in-house capacity
  • Strong background in contract law, dispute resolution, compliance, and corporate governance
  • Excellent communication, negotiation, and leadership skills
  • Alignment with all of Shaping The Future of Power Solutions's Guiding Principles, including Integrity

Preferred Attributes:
  • Experience in energy, manufacturing, or technology sectors within a private equity environment.
  • Experience with M&A transactions and integration.
  • Ability to work cross-functionally and influence at all levels of the organization
  • Prior experience as a corporate GC, Associate GC, or Deputy GC.
