A Little More About The role:We are seeking an Associate General Counsel to join our Legal and Compliance team. Reporting to the General Counsel, the Associate General Counsel will provide contracting support as well as strategic legal and compliance advice across An Insurance Agency's various operations and product offerings (including Comfort health plans and ICHRA individual marketplace solutions). The ideal candidate is a generalist with strong demonstrable experience in drafting, negotiating and driving a wide variety of customer-facing and vendor contracts as well as in analyzing and advising on legal and compliance matters, preferably within highly regulated and evolving areas, like health benefits, health insurance and adjacent fields. The Associate General Counsel will help to refine and scale An Insurance Agency's commercial and vendor contracting processes, develop tools to drive efficiency, and provide strategic guidance with a focus on minimizing legal and compliance risk while finding smart ways to say “yes” to opportunity. Armed with 7+ years of law firm and in-house legal experience, the Associate General Counsel will have a proven ability to operate effectively in a fast-paced, collaborative environment.
What you will do:
- Understand the mission, role and operation of An Insurance Agency and its affiliated entities to provide a wide range of effective and efficient legal services and advice to the organization,
- Draft, review, and negotiate a broad range of high-value contracts, including administrative services and vendor agreements, technology licensing agreements, reinsurance agreements, business associate agreements, broker agreements and non-disclosure agreements, etc
- In collaboration with key stakeholders ensure An Insurance Agency's internal contracts are accurate and well maintained, including placing contract templates on appropriate review schedules, and identifying opportunities to improve business processes and proposed plans to implement such changes,
- Collaborate with the General Counsel and other key stakeholders to develop, implement and oversee legal compliance initiatives, ensuring appropriate governance frameworks, policies and procedures, risk management and employee training are in place and maintained,
- Proactively identify and mitigate legal risks while delivering pragmatic, solution-oriented legal advice that advances the organization's strategic and growth objectives,
- Support the continuous improvement of legal operations, knowledge management and contract lifecycle management to enhance efficiency, consistency, and risk mitigation across the legal/contracts function,
- Build and cultivate strong and collaborative working relationships with team members across the organization
- Exercise good judgment in all matters even in ambiguous situations
- Perform other job-related duties as assigned
You Bring:
- Juris Doctor (JD) from an accredited law school
- 7+ years of legal experience, preferably with a combination of law firm and in-house counsel experience advising fast-paced health tech or healthcare entities through high-growth periods
- Proven and substantial experience drafting, reviewing, negotiating and enforcing a wide variety of agreements, including customer-facing and vendor agreements
- Excellent written and verbal communication skills with ability to analyze and translate complex regulatory and compliance requirements into actionable guidance
- A “can-do” attitude with a high degree of ownership and willingness to take on tasks big and small to support the team and organization
- A practical, solution-oriented approach to legal issues and legal risk, and a growth mindset with the ability to adapt to new challenges and learn quickly
- Strong project management and organizational skills, and proven ability to work independently and prioritize multiple competing demands
- Ability to assess, prioritize and clearly communicate risk to others; advise based on risk tolerance of the organization; and remain open and responsive to change
Extra credit:
- Previous experience in a high growth environment
- Familiarity with laws impacting health plans, such as the ACA, ERISA, etc.
- In-depth knowledge of HIPAA privacy and security requirements
- Experience with legal operations and the integration of artificial intelligence tools into in-house legal practice
