Position Overview:
The Single-Family Real Estate Department in A Public Government-Sponsored Enterprise Legal Division is seeking a collaborative, team focused, transactional attorney with experience advising on finance, general corporate, and cyber-related issues to join its legal staff as Associate General Counsel. The attorney will support the single-family mortgage acquisition and servicing portfolio business division activities of A Public Government-Sponsored Enterprise, including contract negotiations and drafting, written communications to the industry, internal and external training activities, quality control and risk management matters.

Your Impact:
The Legal Division is committed to providing quality and timely advice and representation responsive to client needs on a variety of matters affecting A Public Government-Sponsored Enterprise. As an Associate General Counsel in the Single-Family Real Estate Department, you will:
  • Collaborate with FHFA (the Federal Housing Finance Agency) our regulator/conservator regarding approval of proposed initiatives, and responses to examinations and findings requiring corrective actions
  • Advise internal clients on Seller/Servicer mergers and acquisitions, cessation of business, resolution of obligations, and related transfers of servicing
  • Structure, negotiate and document non-bank Seller/Servicer financings secured by servicing contract rights
  • Advise internal clients on cyber incidents and privacy incidents
  • Participate in the development and drafting of innovative homeowner affordability and sustainability initiatives such as HeritageOne, HomeRestore and second lien mortgages
  • Advise internal clients regarding antitrust compliance

Qualifications:
  • Juris Doctor (JD) degree; membership in good standing in a state Bar
  • 10+ years of relevant sophisticated mortgage-related experience, either in-house with a bank or mortgage company, or in private practice with a law firm
  • Substantive expertise and experience advising on mergers, acquisitions and conversions of entities, as well as corporate finance
  • Familiarity with A Public Government-Sponsored Enterprise Single-Family Seller/Servicer Guide
