Job Details:
Goodwin seeks a highly qualified senior attorney to join our Technology (https://www.goodwinlaw.com/en/expertise/industries/technology-companies) group with a focus on Blue Sky laws. Candidates should have significant experience advising on federal securities law exemptions, state Blue Sky laws, broker-dealer regulations, and related compliance matters, as well as supporting securities offerings, private company financings, investment funds, capital markets transactions, and other securities matters. Strong working knowledge of Regulation D, Section 4(a)(2), Rule 701, Regulation A, Rule 144, and applicable state securities requirements is required. Experience preparing and overseeing Form D and state securities filings through the NASAA Electronic Filing Depository (EFD) is required.

Candidates applying for associate positions with Goodwin should have outstanding academic credentials, comparable law firm experience, and excellent written and verbal communication skills. Relevant bar admission (or eligibility to obtain admission promptly) and deal sheet are required.
