Description:

The primary roles of the General Counsel are to protect the company's interest in contractual negotiations and financial transactions; to counsel the company on new and current legal risks in the development, construction and property management industries; and to provide general legal support and guidance. The ideal person for this position has proven experience in real estate development, construction, and property management law. This position reports directly to the company Owner and C-Suite Executives.

Responsibilities:
  • Provide legal support and strategic advice with regard to preparing our projects for financing, tax credit syndication, construction, and operation.
  • Manage, draft, and review legal documents including construction agreements, development agreements, vendor and consultant agreements, utility contracts, easements, and leases.
  • Prepare and manage entity formation documents.
  • Participate in real estate acquisition transactions including purchase agreement, land use analysis, entitlements, and other due diligence.
  • Prepare and assist with rezoning applications and hearings.
  • Coordinate with lenders for acquisition and post-construction closings.
  • Ensure compliance with contract management procedures and provide advice as claims arise.
  • Work with Human Resources staff on various employment law issues.
  • Conduct training on legal and compliance related topics.
  • Maintain knowledge of real estate trends, best practices, changes to regulations, and other legal developments which affect the company's operations and advise principals.
  • Identify and implement practical solutions to complex business and legal problems.
  • Coordinate with outside counsel and insurance carriers on litigation matters.
  • Perform other related duties and special assignments as necessary to assist the company in legal matters.

Requirements:
  • Law Degree (J.D.) from an accredited law school.
  • Admission to practice in Ohio preferred.
  • A minimum of three years' legal experience in real estate development, construction, and property management.
  • Familiarity with Housing and HUD multifamily financing programs preferred.
  • Familiarity with Low Income Housing Tax Credit (LIHTC) programs.
  • Experience managing and documenting complex real estate transactions.
  • Excellent verbal and written communication skills.
  • Detail-oriented with capability of executing tasks at a high level of accuracy.
  • Outstanding organization and multi-tasking skills with ability to manage multiple projects simultaneously.
  • Ability to maintain a high degree of confidentiality. Unquestionable ethics and integrity, sound judgment.
  • Proficient with Microsoft Office Suite.
