As the Associate Counsel, you will serve as the primary legal advisor at An Outpatient Rehabilitation Company, reporting directly to the CFO. Responsibilities will span various legal areas and provide an opportunity to help shape our legal strategies and contribute to our continued growth and success. Responsibilities will include contract review and negotiation, including commercial, lease and vendor agreements; maintaining documentation of corporate legal positions; corporate governance and risk management; policy development, ensuring compliance with relevant laws and regulations; maintaining relationships with external network of legal experts; and managing the paralegal team. This is a remote position with occasional domestic travel. Ideal candidate located in Ohio or Florida.

What You'll Need:
  • Juris Doctor Degree from an accredited law school
  • Active state bar membership in Ohio
  • 3-4 years of legal experience, including exposure to contract law, corporate governance, and risk management
  • Ability to document complex contractual arrangements with attention to detail
  • Strong communication and negotiation skills, analytical and strong attention to detail
  • Desire to grow into a more senior, General Counsel role

What You'll Do:
  • Assist in negotiating, reviewing, and drafting commercial and vendor agreements
  • Maintain our leasing program including negotiating new leases, executing amendments, maintaining relationships with landlords, leading and executing the new lease and renewal process
  • Assist with general liability and other non-medical insurance, including negotiation of new contracts, serving as the point of contact with broker partners, providing documentation and negotiating settlements
  • Assist with legal diligence in mergers and acquisitions and requirements for developing new clinics (De Novo)
  • Establish and maintain scalable contracting processes and templates
  • Provide administrative support for legal documentation
  • Assist with corporate initiatives including litigation, employment matters, payer contracting, and vendor review
  • Maintain corporate records and ensure adherence to legal formalities
  • Assist with business licensing, permitting, development of business associate agreements and non-disclosure agreements
  • Contribute to the development and implementation of company policies and procedures
  • Assist with compliance initiatives, particularly data privacy regulations
  • Conduct legal research and provide updates on applicable laws and regulation
  • Develop and maintain relationships with our external attorney partners and maintain and monitor all Company litigation and legal projects
  • Oversee the paralegal department (currently one individual)
