Description:

Position Summary: The Senior Counsel will serve as primary counsel to one of the company's subsidiaries under the supervision of the company's General Counsel.

Position Duties and Responsibilities
  • Provide legal advice, drafting and negotiation support to the executive team and operational units including business development, operations, procurement, engineering, finance, environmental, safety, HR and IT.
  • Negotiate and draft midstream commercial agreements, including product sales, distribution and terminaling storage and throughput agreements.
  • Negotiate and draft procurement, consulting, and construction services agreements.
  • Oversee real estate transactions and negotiate and draft easements, lease agreements, rights of way and rail crossing agreements.
  • Oversee and manage outside counsel in connection with various litigation matters.

Knowledge, Skills, and Abilities:
  • Experience working with contractual language, including the drafting and negotiating of documents including agreements related to commercial contacts, real estate, bank financings, mergers and acquisitions, and general corporate practice.
  • Excellent interpersonal and communication skills with the ability to effectively present information to all levels of management.
  • Proven ability to serve as a strong business partner and proven history of building trust with others.
  • Strong leadership abilities, including an assertive (yet diplomatic) personality, ability to work as part of a team, positive attitude and ability to handle change and dynamic situations.
  • Ability to multi-task, prioritize and work under pressure to meet deadlines while maintaining highest quality of work product.
  • Highly motivated team player who is focused, proactive and willing to pick up overflow work from others in the legal department when necessary.

Experience/Education:
  • Juris Doctor Degree from an accredited institution.
  • Admitted to practice law and in good standing.
  • Minimum of 6 years of relevant experience in legal practice (including 2 years as in-house counsel) is preferred.
