Job Description:
The purpose of the Corporate Counsel is to provide general legal counsel in complex corporate matters; drafting and negotiating contracts and agreements; overall compliance with international and domestic laws and regulations; and other activities in which the Company is involved. The position will be based in Denver, Colorado and reports directly to Vice President, Legal & Land.

The day to day:
  • Perform general transactional work in support of the company's mining business.
  • Negotiate, draft and administer a full range of business transactions including M&A agreements, exploration agreements, options to lease/purchase, mining leases, land and water purchase agreements, metals and concentrate sales.
  • Draft and negotiate contracts and agreements in support of supply chain/procurementinitiatives, project development, and operational activities.
  • Provide advice and assist in the company's legislative and regulatory efforts at the local, state, and federal levels.
  • Provide legal advice regarding subsidiary governance and corporate compliance.
  • Provide public land and mining law advice involving mining claim location, maintenance and protection, exploration rights, draft and administer lease, claim and concession contracts, assist with governmental and permit approvals.
  • Manage, negotiate, and resolve transaction related disputes and direct any resulting litigation, as necessary.
  • Work with outside counsel in a timely, efficient and cost-effective manner.
  • Assist in preparation and management of company contract templates – standard terms and conditions, form agreements, etc.
  • Work as a business partner with SSR's operations to formulate and implement strategies consistent with corporate objectives and which minimize legal impact on the corporation.
  • Perform other work as assigned and provide general support to the legal department.
  • Keep abreast of all proposed and enacted rules and regulations impacting the company's operations.
  • Provide support for public disclosure and securities filings, including press releases, earnings materials, 10-K, 10-Q, 8-K, proxy statement and other applicable filings.

Is this you?
The Corporate Counsel must have a Juris Doctor or equivalent degree from an accredited law school. 4-6 years' experience with a top-tier law firm and/or an in-house legal department is required. The individual must possess business transactional experience which includes structuring, drafting and negotiating agreements. Experience with mining, natural resources, oil and gas, royalties, extractive industries or public lands is necessary.
  • Capable of immediately assuming responsibility for a wide variety of work; self-starter; able to work independently, exercise good judgment, and take ownership of issues and matters with minimal supervision.
  • Capable of maintaining independence of judgment and advice while developing close relationships with business personnel.
  • Must have excellent verbal and written communication skills and the ability to communicate complex legal matters in simple, concise business terms.
  • Mature and professional; team player; excellent interpersonal skills; strong business ethics and integrity.
  • Comfortable engaging proactively with a range of colleagues, including in different locations around the world and managing relevant cultural differences.
