Are you a legal professional with a sharp eye for detail and a passion for navigating the complexities of global finance? Vanguard is seeking a strategic and collaborative attorney to join our Securities Finance Legal team. In this role, you'll be at the forefront of drafting and negotiating high-impact legal agreements—from securities lending and repurchase transactions to broker/dealer trading and platform documentation. You'll partner with internal stakeholders to advise on global legal issues, support innovative financial products, and help shape the future of governance and compliance across Vanguard's investment landscape.Responsibilities:
- Draft & negotiate various legal documents for securities lending, repurchase agreements, as well as broker/dealer trading and platform agreements and supporting documentation.
- Advise internal clients and business units on global legal issues impacting securities finance as well as educate and inform for enhanced governance and better compliance with policies, regulations, and laws.
- Support new services, new markets, product developments and strategic initiatives.
- Counsel and educate investment management financial risk teams and business units.
- Maintain a high level of expertise in applicable areas of the law, Vanguard's business, the mutual fund industry, and the securities finance industry.
- Demonstrates judgment, creativity and technical expertise, breadth of vision and initiative, commitment and accomplishment, communication skills.
Qualifications:
- Minimum of 2-4 years law firm experience or experience working in-house corporate experience in bank, broker/dealer, investment firm; law degree (JD) required.
- Knowledge and experience in derivatives, securities lending, repurchase transactions, and/or custody (legal documentation and global regulatory framework), including ISDAs, CSAs, MSFTAs, Futures and Option Agreements, Prime Brokerage Agreements, MRAs, GMRAs, MSLAs, GMSLAs, Agent Lending Agreements, and/or ACAs.
- Track record for highly successful contract and dispute negotiations.
- Demonstrate ability to develop positive relationships and work confidently and cooperatively with legal colleagues, business unit managers/employees, and external entities such as outside counsel, clients, vendors, and other business partners.
- Maintains high level of expertise in regulatory law, Vanguard's business and products, and the investment industry. Stays abreast of industry and regulatory developments affecting Vanguard, and maintains affiliations with relevant industry, compliance, and risk associations.
