The Role:
The Senior Counsel– Franchising works directly with the VP & Assistant General Counsel – Franchising in providing legal support to all aspects of An American Multinational Hospitality Company franchise functions. Matters include new hotel development franchise deal work, owner transition franchise deal work, advising and counsel support to the franchise operations and other business team, support of FDD disclosure and exemption functions, and other matters. The Senior Counsel – Franchising duties will include:
  • Draft and help negotiate franchise agreements, amendments, and related legal documents ranging from the simple to the highly complex, working directly with internal client teams to achieve the company's business objectives
  • Advise franchise operational support teams and development teams on franchise development and ongoing relationship matters
  • Provide franchise legal support for hotel purchases, sales, and corporate M&A
  • Draft and update Franchise Disclosure Documents and support deal-related disclosure/exemption needs

The ideal candidate is a highly skilled franchise attorney with significant law firm experience in franchise disclosure, franchise transactions, and franchisor counseling advising, with a practical approach to client representation and problem-solving, comfort exercising independent judgment, client-service orientation, and effective communicator, and the ability to handle a high volume of matters efficiently and competently. In-house experience and hotel-specific experience are both assets but not prerequisites.

Qualifications:
Experience Required:
  • 8+ years of combined (law firm and in-house) attorney experience
  • 5+ years practicing primarily in franchise transactions and regulatory compliance
  • Law degree and high level of academic accomplishment from accredited law school
  • Bar admission and good standing in one or more U.S. states

Experience Preferred:
  • Combination of law firm and in-house experience practicing franchise transactions
  • Hotel industry and/or hotel franchising experience
  • Business or accounting degree / MBA
  • Experience in international franchise matters
