The Legal team supports Datadog's rapid growth by providing a wide range of legal services across a highly dynamic technology company, from driving new business via contracts and compliance efforts, to protecting Datadog's intellectual property. Datadog's Legal team works with virtually every team across the organization, from engineering to product to marketing.Datadog is looking for a business-savvy attorney to provide legal counsel for M&A and other strategic transactions globally, from diligence to execution and integration. As Senior Counsel, you will also support securities law, governance and other corporate matters.

What You'll Do:
- Oversee and provide legal advice in connection with domestic and international M&A and other transactions, including due diligence, deal structuring, agreement drafting and negotiation, stakeholder presentation materials, and outside counsel management
- Work closely with corporate development and other teams on a multi-functional basis, developing trusted relationships to facilitate a coordinated team approach
- Represent the Legal Department on post-closing integration matters
- Develop standardized processes and documents to develop scale, efficiency and best practices across M&A and other strategic transactions
- Support public company reporting including the drafting and review of Forms10-K and 10-Q and Section 16 filings
- Assist in the preparation for the annual shareholder meeting including drafting of proxy materials
- Support the administration of equity compensation including award agreements and trading plans
- Oversee subsidiary maintenance including entity formation
- Provide support and guidance on other corporate matters
Who You Are:
- A licensed attorney with at least 5 years of experience in M&A at a nationally recognized law firm
- Someone with a deep understanding of legal issues in both domestic and cross-border M&A who can be creative and flexible when dealing with complex legal issues
- Well-versed in technology companies and startups
- Detail-oriented, independent self-starter and able to thrive in a dynamic environment
- Experience with public company reporting and equity compensation a plus, but not required
- Flexible and willing to take on different types of projects in a quickly scaling company as needed
- A strong presenter with an ability to translate legal jargon to plain language

The reasonably estimated yearly salary for this role at Datadog is: $200,000—$250,000 USD
