Description:

We are seeking a talented, experienced Senior Counsel to join the EUC Legal Team. The successful candidate will be a key member of the team, supervising the Americas Commercial Legal Team members. This person will provide guidance to the Americas Commercial Legal Team members, to ensure that all agreements are drafted and negotiated in accordance with company policies and legal requirements. This person will work with colleagues across the EUC Legal Team, and throughout the rest of the company, to understand key related issues and challenges, as well as stakeholder requirements, that impact the company's agreements, in support of achieving the company's strategic goals and objectives.

Responsibilities:
  • Supervise commercial legal roles for the Americas Commercial Legal team, which is responsible for drafting, reviewing and negotiating agreements with customers (including but not limited to licensing of entitlements to on-premises software and cloud-hosted services, as well as consulting and professional services agreements), and agreements with channel partners.
  • As needed to support the team, this role will also be called upon to draft, review, and negotiate various commercial agreements with customers, in coordination with the EUC Deal Management Team and other internal stakeholders as needed.
  • Provide legal advice and support to Deal Management and Sales Ops teams with regard to cus-tomer requests for modification to EUC standard terms, and deal-related questions, including but not limited to EUC business policies and guidelines.
  • As required, provide guidance and support to internal stakeholders on sales contract-related matters, including interpretation of contract terms, addressing customer concerns, and resolution of disputes.

Qualifications:
  • Juris Doctor (JD) degree from an accredited law school and active license to practice law in any United States jurisdiction.
  • Minimum 10 years of experience working as an attorney, negotiating software and cloud services licensing agreements, and related professional services agreements. United States-based in-house experience preferred but not required.
  • Excellent drafting and negotiation skills with the ability to communicate complex legal and commercial concepts clearly and concisely. Proficiency with American business English.
  • Ability to identify and mitigate legal and business risks and provide practical solutions to complex issues to support EUC corporate strategies.
  • Ability to work effectively in a fast-paced environment and manage multiple priorities with attention to detail.
  • Collaborative mindset with the ability to work cross-functionally and build strong relationships with internal and external stakeholders.
