Position Summary:
The Senior Corporate Counsel position reports to the Deputy General Counsel.

We are seeking an attorney with experience in general corporate legal work, including experience with international corporate entity management, treasury and financing work, mergers & acquisitions and related matters. This attorney will partner with a wide range of internal teams, balancing deep legal knowledge with operational insight to enable business growth, manage risk, and maintain compliance for a rapidly transforming organization.

Responsibilities:
  • Support oversight of multi-national subsidiary entity management, ensuring intercompany agreements and entity structures remain optimized and compliant
  • Coordinating cross-functionally with tax, treasury, and other finance teams as needed on subsidiary projects, including subsidiary creation, ownership changes, capital changes and other matters
  • Provide legal support for treasury and finance operations, including intercompany loans, cash management, and banking relationships
  • Draft, review and negotiate banking, merchant services, credit card and payment processing agreements
  • Advise on U.S. and Canadian financial regulatory requirements, such as those relating to NACHA compliance, ACH transactions, and electronic payments
  • Collaborate with finance, treasury, and tax teams to identify and mitigate regulatory and operational risks in intercompany and other financial transactions
  • Support corporate development transactions (mergers, acquisitions, divestitures, and investments into new ventures) and other strategic transactions
  • Support legal participation in enterprise risk management activities
  • Assist in developing training materials and provide training to business partners on relevant corporate legal topics
  • Provide legal guidance, supervision, and support to paralegals and legal support staff
  • Develop and implement efficiencies to improve existing processes and procedures
  • Anticipate and mitigate potential legal risks while supporting the company's strategic objectives
  • Contribute to ongoing professional development, training, and knowledge sharing within the legal department
  • Perform other corporate duties as assigned

Qualifications:
  • Law degree and current state bar membership
  • 3-5+ years' experience in a corporate law department or international law firm
  • Experience advising U.S. based multinational organizations on complex legal and business matters
  • Ability to collaborate on multiple projects with short deadlines simultaneously and adapt to rapidly changing business priorities
  • Highly responsive and service oriented with excellent legal and business judgment
  • Must have strong communication skills and the ability to respond effectively and persuasively on behalf of the company, including to inquiries from regulatory agencies
