Position Summary:
The Real Estate Attorney will support complex transactional matters, including mergers and acquisitions, by leading and coordinating real estate due diligence and contributing to broader real estate transactions. This role combines diligence execution with hands-on transactional support, including acquisitions, leasing, development, and financing matters.
The successful candidate will join a collaborative and high-performing team within a global platform, working as a trusted business partner to anticipate risks, deliver strategic insights, and execute transactions efficiently.
Responsibilities and practice:
- Real Estate Due Diligence (M&A Integration)
- Lead and manage end-to-end real estate due diligence for M&A transactions
- Review and analyze leases, title commitments, surveys, zoning reports, and property agreements
- Identify key risks, liabilities, restrictions, and financial exposure associated with real estate assets
- Prepare due diligence reports, executive summaries, and risk assessments
- Coordinate diligence workflows, timelines, and closing deliverables
- Real Estate Transactions
- Contribute to the coordination and execution of complex commercial real estate transactions in connection with larger equity and asset transactions, including acquisitions, dispositions, and leasing matters
- Draft and negotiate agreements related to acquisitions, sales, and leases
- Assist with transaction closings and post-closing matters
- Support structuring of real estate transactions occurring within the context of larger M&A and corporate transactions
- Transaction Support & Advisory
- Partner with internal deal teams to integrate real estate findings into transaction strategy
- Support negotiation of purchase agreements with real estate issue tracking and resolution
- Assist with closing processes, including satisfaction of real estate-related conditions
- Develop practical risk mitigation strategies
- Support negotiation of real estate related provisions contained in equity and asset purchase and sale agreement, including applicable reps and warranties, indemnitees, disclosure schedules, and closing documentation

- Analytical thinker with strategic problem-solving ability
- Technical Skills and Experience
- Minimum 5 years of transactional real estate experience required
- Experience drafting and negotiating key real estate transaction documents
- Strong familiarity with leases, title, zoning, and property rights
- Experience reviewing complex lease agreements and contracts
- Understanding of M&A processes preferred
- Proficiency in Microsoft Office and document management systems
Other Requirements:
- J.D. from an accredited law school
- Licensed to practice law in Pennsylvania and in good standing
