Fox Rothschild has an opening in our New York, NY office for a Mid-Level Corporate Associate to join our dynamic national team and handle a broad range of corporate and emerging company and early and later-stage venture capital and private equity transactional matters. This position offers the opportunity to handle sophisticated transactions for domestic and international companies, venture and private equity funds, corporate strategic investors and entrepreneurs, as well as skills enhancement and marketing development opportunities. The ideal candidate will have at least three to six years of experience at an AmLaw 100 law firm, an interest in supporting senior attorneys, and a desire and aptitude to work closely with founders, executives and investors, while developing a practice. Qualifications:
Juris Doctorate (JD) required. Must be licensed to practice law in the State of New York.
Knowledge, Skills, & Abilities:
- Superior academic record and excellent writing skills required.
- Strong drafting, negotiation, and analytical abilities.
- Strong experience in venture capital financing (SAFEs, venture debt, NVCA-style raises, secondaries, corporate strategics, family offices), along with mergers and acquisitions, capital markets/corporate finance, joint ventures, divestitures, private equity, M&A and securities law compliance, corporate formations, and corporate governance matters.
- Guide companies through successful financing rounds, and complex corporate M&A and commercial transactions.
- Experience working with early stage and growth stage companies, founders, private investors and venture capital and private equity firms preferred.
- Experience independently managing significant portions of transactions, including demonstrating ability to manage deal teams of other associates and subject matter experts.
Work Environment & Physical Demands:
This job operates in a clerical, office setting. This role routinely uses standard office equipment including, but not limited to computers, telephones, printers, and copiers.
