An Award-Winning Employee Voice and Recognition Solution Company is currently seeking a legal counsel to add to its current team of legal professionals. The successful candidate will engage in a variety of commercial transactional matters in support of An Award-Winning Employee Voice and Recognition Solution Company' core business that provides a cloud-based employee recognition and rewards solution with an active listening interface to accelerate employee engagement. This position is a hybrid role (in-office partial days of the week) where the candidate is based in in Toronto, Ontario, Canada, where An Award-Winning Employee Voice and Recognition Solution Company is headquartered. We will consider remote candidates.

This position requires a self-motivated, business-minded, and confident corporate-commercial lawyer with excellent interpersonal skills, an ability to manage changing priorities and a broad range of legal requests, combined with a desire to improve efficiency in the legal process. In this role, you will support the North American business units as they endeavor to innovate, grow and meet and exceed their own business targets. The successful candidate will have primary responsibilities for the legal needs of the An Award-Winning Employee Voice and Recognition Solution Company marketplace team, as well as provide support in the negotiation of SaaS subscription agreements with our customers, including advising on privacy matters (ideally with privacy certification). The Legal Counsel will also effectively negotiate agreements related to data protection and security, procurement, inbound software and services providers, partnerships, resellers, marketing and advertising, as well as supporting the sales team in responding to RFPs/RFIs. As a part of the An Award-Winning Employee Voice and Recognition Solution Company legal team, be assured that the work is fast-paced, challenging, varied and ever evolving.

Responsibilities:
  • Drafting and negotiating a broad range of standard and non-standard commercial agreements related to the An Award-Winning Employee Voice and Recognition Solution Company marketplace, SaaS subscription services and other technology and vendor agreements.
  • Creating and revising other legal documentation, policies, guidelines and standard forms.
  • Researching and staying abreast of changes to relevant law and regulations, including privacy and data protection requirements, and ensuring compliance.
  • Work in real-time through regular interaction with internal and external clients regarding legal and regulatory requirements, and overall enterprise risk management.
  • Creating, maintaining and updating templates as required to improve workflow and efficiency.
  • Other duties as assigned.

Knowledge Skills and Abilities:
  • Demonstrated track record of successfully managing and negotiating high volume of complex contracts.
  • Able to work independently, prioritize and multi-task in a fast-paced environment.
  • Energetic self-starter with demonstrated initiative, exceptional business judgement and creativity.
  • Comfortable interacting at all levels within the company (e.g. senior management, engineering, information security, finance, tax, human resources and sales.)
  • The ability to both work collaboratively within the legal and broader teams and independently on an individual basis with limited oversight.
  • Excellent oral and written communication and interpersonal skills

Qualifications:
  • J.D. or LL.B. degree with outstanding academic credentials.
  • Active and in good standing in at least one State Bar in the United States (ideally with a dual call to a Canadian province or other jurisdiction.)
  • Working knowledge of privacy law and experience negotiating DPAs .
  • Privacy certification in one or more jurisdictions (definite asset).
  • Minimum of 4+ years of relevant legal experience, with a law firm or in-house.
  • Experience with SaaS, subscription agreements, reseller agreements and other cloud-based and technology-related offerings preferred.
