The Opportunity:
An American Multinational Computer Software Company is looking for a motivated attorney to join our Corporate Legal team. In this role, you will support a wide range of public company matters, including SEC reporting, corporate and subsidiary governance, treasury, ESG and investor relations. The ideal candidate will be a self-starter with excellent judgment, ability to prioritize and manage multiple competing responsibilities in a fast-paced environment, passion for building and improving processes and an eye for detail. You must also enjoy working collaboratively with other members of Legal and the teams we support and be able to communicate effectively at all levels of the company. What You'll Do:
  • Assist with preparing and filing periodic and annual reports and other securities-law filings, including those on Form 10-K, Form 10-Q, Form 8-K and Form S-8, proxy statements and section 16 reports.
  • Help drive development and continued progress of corporate governance practices and processes across An American Multinational Computer Software Company and our global subsidiaries, including international expansion and governance compliance matters.
  • Assist with treasury matters, including debt offerings and other cash management and FX hedging activities.
  • Assist with compliance with SEC and NASDAQ rules and public company polices applicable to the board and/or its employees.
  • Assist with investor relations matters, including earnings and investor days.
  • Assist with the governance component of ESG matters, including compliance with new and pending ESG rules.
  • Assist with maintaining the governance calendar for the board and its committees, including preparing materials for meetings and drafting minutes, as well as supporting with our annual stockholder meetings.

What You Need to Succeed:
  • JD from an accredited law school and membership in at least one state bar.
  • 4+ years of related experience at a top law firm or in-house legal department, specifically in federal securities law and corporate governance. A combination of both in-house and law firm practice experience is a plus.
  • A very strong attention to detail, excellent judgment, communication (verbal and written), organizational and interpersonal skills and the ability to work effectively across multiple groups and functions.
  • A self-starter who operates independently in a fast-paced, global company.
  • An approachable and flexible manner with a sense of humor.
