A Pioneer in K-12 Education Company is looking for an experienced and versatile IP and Licensing Senior Counsel to join the Legal team.

The IP and Licensing Senior Counsel, reporting to the General Counsel, will manage the Company's trademark, copyright and patent portfolio, handle licensing and other commercial matters, and provide strategic IP counsel to product and content teams. This person will also oversee the work of the rights and permissions manager. Nimbleness, solid judgment and good stakeholder management skills will be important to successfully navigate this role.

This is a hybrid role with the expectation of working from A Pioneer in K-12 Education Company's office in Dumbo, Brooklyn approximately two days a week.

Key Responsibilities:
  • Draft, review, and negotiate a wide range of content, trademark, media and other intellectual property licensing, development and distribution agreements.
  • Handle other commercial agreements, including vendor and customer agreements.
  • Advise on IP-related provisions in M&A matters and commercial agreements, including customer contracts.
  • Work closely with the product teams to develop advantageous and comprehensive inbound and outbound licensing strategies.
  • Provide strategic guidance to product and content teams on IP matters.
  • Oversee and manage the Company's intellectual property portfolio, including trademarks, copyrights, and patents.
  • Identify and assess potential legal risks related to intellectual property matters.
  • Stay abreast of developments in IP law, particularly as they pertain to publishing, media, and education technology, to provide proactive and strategic legal advice.

Required Qualifications:
  • JD from ABA-accredited law school and current membership in New York Bar (or able to satisfy all New York Bar admission requirements without examination requirements).
  • Minimum 7 years of experience, must have familiarity with IP licensing matters arising in a publishing or media context.
  • Strong interpersonal skills with the ability to build productive relationships with relevant stakeholders to seek alignment on matters.
  • Ability to prioritize effectively and process a high volume of work in a timely fashion.
  • Good drafting and analytical skills and an ability to advise a diverse range of clients.
  • Strong project management, process development, analytical and negotiation skills.
  • Excellent communication skills, with the ability to provide clear, concise, and business-forward legal advice to non-legal stakeholders.
  • Strong negotiation skills and experience in drafting and reviewing complex agreements.
  • Self-starter with proven ability to make independent and sound decisions and exercising good judgment on when to seek guidance.

Preferred Qualifications:
  • Combination of law firm and in-house experience
  • Educational publishing intellectual property and licensing experience.
  • Team player demonstrating a willingness and flexibility to take on matters beyond IP licensing that build new skills and subject-matter expertise.
