What we do:
TKD's French Practice advises French and francophone companies, investors, entrepreneurs, and individuals on their U.S. legal needs. The group provides strategic, transactional, and employment counsel across the full lifecycle of a client's U.S. presence, from market entry and investment through growth, workforce management, restructuring, and exit. Our attorneys combine deep knowledge of U.S. law with a strong understanding of international business dynamics, allowing us to deliver practical, integrated legal solutions aligned with our clients' business objectives.
Key areas of focus include:
- U.S. market entry planning and corporate structuring
- Formation and governance of U.S. subsidiaries and affiliates
- Mergers and acquisitions, including due diligence, transaction documents, and post-closing integration
- Commercial agreements and cross-border transactions
- Employment law counsel (hiring, terminations, internal policy and procedure guidance;
- Intellectual property counsel and portfolio maintenance
- Ongoing corporate governance, compliance, and advisory matters
- Coordination with tax, immigration, labor, and regulatory teams to deliver integrated cross-border solutions
We have an exciting opportunity for an Associate to join the French Practice, supporting domestic and international clients with integrated corporate, employment, commercial, and cross-border legal needs. The ideal candidate will have 3-12 years (6+ years preferred) of relevant corporate, commercial, and transactional experience.
Essential responsibilities include:
- Overseeing M&A and other corporate transactions, including due diligence, document review, identification of legal and commercial risks, drafting, and closing
- Drafting and reviewing corporate and commercial agreements
- Advising French clients on U.S. corporate governance and operational matters
- Handling stock transfer agreements, joint venture arrangements, corporate reorganizations, mergers, “flip” transactions, and other strategic transactionsReviewing, drafting, and negotiating general terms and conditions of sale, general terms and conditions of use, retail policies, and other B2B and B2C documentation
- Providing practical legal advice on day-to-day company operations, including the sale and purchase of goods and services, employment and contractor relationships, advertising, marketing, online publishing, e-commerce, and privacy and cybersecurity compliance
- Advising on intellectual property matters intersecting with corporate transactions, including reviewing IP ownership provisions, evaluating IP representations and warranties in M&A, assisting with licensing or technology-related commercial agreements, and identifying IP-related risks during due diligence
- Coordinating with colleagues across practices to deliver integrated advice to French and multinational clients operating in the U.S.
Qualifications and Skills:
- Candidates must be admitted to practice in New York
- Fluency in French is strongly preferred, with additional language skills considered a plus.
- An entrepreneurial mindset and an interest in cross-border business work are highly valued.
- The ideal candidate will be comfortable managing a diverse range of matters simultaneously, with the ability to shift effectively between transactional work, commercial contracting, corporate governance, and ongoing client counseling in a fast-paced practice.
- Candidates should demonstrate strong drafting, analytical, and organizational skills, sound business judgment, and the ability to work effectively with international clients and cross-practice teams.
