Summary:
Reporting directly to the System Chief Executive Officer & President, the EVP/Chief Legal Officer (CLO) & Corporate Secretary leads and directs all aspects of the system's legal affairs, including but not limited to Corporate Governance, Strategic Transactions and Financings, Regulatory Compliance, Contracting Process, Litigation and Claims, Risk Management and Insurance (captive), Safety and Loss Control, Labor Relations, Employment Practices, Partnerships and Corporate structures, and External Counsel relationships.
  • Serves as the Chief Legal Executive responsible for overseeing the delivery of all legal services and resources to accomplish corporate goals, strategies, and priorities, including keeping leadership informed of new or changing laws, consulting CEO and board on legal advice, and educating employees on legal issues.
  • Appointed to govern and manage the legal department, lead in-house attorneys and legal department to provide direction on major legal and regulatory issues, and work to minimize legal risks.
  • Oversees legal matters pertaining to employment and labor in conjunction with the Chief People & Administrative Officer.
  • Sets the strategic vision and direction for the Legal Services team and ensures execution in mission critical subject matter.
  • The EVP/CLO simultaneously serves as Corporate Secretary and advises the CEO, Board of Trustees, and other senior executives on corporate governance requirements and key legal matters.
  • Advises both the CEO and the Board of Trustees on corporate governance-related matters and best practices, bylaws, and maintenance of corporate records.
  • The EVP/CLO is a trusted expert and leader who helps minimize legal risks by advising the Executive Team and Board of Trustees on any major legal and regulatory issues, such as litigation risks.
  • Manages legal affairs for multiple legal entities and is instrumental in developing strategies for additional future entities, for its current entities, and affiliate corporations.
  • Contributes to the fulfillment of A Hospitals & Health Care Law Firm's mission and vision by developing and maintaining the legal capacities of the organization through the oversight of the legal department and the evaluation and supervision of all legal resources. Upholds the mission, vision, values, and customer services standards of A Hospitals & Health Care Law Firm.

Qualifications:
Required:
  • Juris Doctor Degree and ten (10) or more years of executive leadership experience in a legal context.
  • Admission (or eligibility for admission) to the Ohio Bar.
  • Thorough knowledge and understanding in trends in health care, especially legal and compliance trends.
  • Exceptional interpersonal and relationship building skills required in order to initiate and develop productive working partnerships with all levels of management/ leadership and staff.
  • Ability to influence results, garner support and tactfully manage complex relationships and influences within and across the organization.
  • Demonstrates customer service orientation and seeks to understand customer requirements and exercising judgment in meeting their expectations, particularly when there are differences of opinions on needs and services, unanticipated contingencies or a divergence of ideas/perspectives.
  • Exceptional oral and written communication, persuasion, consulting, team building and negotiation skills.
  • Must be able to clearly articulate and demonstrate commitment to high quality and patient safety.
  • Must be comfortable operating in a collaborative, shared leadership environment.
  • Must possess a personal presence that is characterized by a sense of honesty, integrity and caring with the ability to inspire and motivate others to promote the philosophy, mission, vision, goals and values of the A Hospitals & Health Care Law Firm.

Preferred:
  • Experience as legal counsel in a health care system
  • Experience in public hospital law, preferably in state of Ohio Corporate governance, board affairs Litigation and Labor Law experience

Physical Demands:
May need to move around intermittently during the day, including sitting, standing, stooping, bending, and ambulating. May need to remain still for extended periods, including sitting and standing. Ability to communicate in face-to-face, phone, email, and other communications. Ability to read job related documents. Ability to use computer.
