Contracts & Legal Support
- Provide strategic legal oversight across the organization, including review, drafting, negotiation, interpretation, and risk mitigation.
- Serve as a senior legal advisor to executive leadership and operational teams on all contract-related and transactional matters, escalating to the General Counsel as appropriate.
- Anticipate organizational legal needs and proactively develop forward-looking legal strategies that align with OrthoVirginia's business objectives.
- Develop and maintain standard contract templates, playbooks, and processes, and direct the legal team in their consistent application across the organization.
- Lead, mentor, and manage the Contract Specialist and Paralegal, serving as their direct supervisor and primary point of accountability for the day-to-day operations of the legal team..
- Set expectations, allocate work, and support professional development of direct reports, including conducting performance reviews and establishing team goals aligned with departmental priorities.
- Foster a collaborative and service-oriented legal team culture that reflects OrthoVirginia's values and delivers practical, high-quality legal support across the enterprise.
- Build and maintain strong relationships withsenior executives, physician leaders, and operational teams across the organization, serving as a trusted legal partner at the leadership table.
- Serve as a strategic legal advisor aligned to senior management, translating complex legal risk into actionable business guidance and supporting the organization's strategic initiatives.
- Communicate complex legal issues clearly and practically to non-legal audiences, including senior leadership and the Board, and manage outside counsel relationships to ensure cost-effective and high-quality legal representation.
- Assist the General Counsel in providing legal advice and guidance to senior management, and assume leadership of the legal function in the General Counsel's absence.
- Lead or co-lead management of litigation and other high-risk legal matters, including oversight of outside counsel, strategy development, and reporting to senior leadership.
- Conduct legal research and analysis to support the General Counsel in making strategic decisions, and participate in negotiations and settlement discussions on behalf of the organization.
- Identify opportunities to improve legal processes, workflows, and departmental infrastructure, and drive implementation of those improvements across the legal team.
- Ensure compliance with applicable laws, regulations, and organizational policies, including healthcare regulatory requirements, and provide guidance on corporate governance matters to senior management and the Board.
- Develop and implement internal policies and procedures to ensure legal and regulatory compliance, and conduct legal training sessions for employees on relevant legal issues.
- Monitor changes in laws and regulations affecting the organization and proactively advise leadership on emerging legal risks and compliance obligations.
- Lead special legal projects and strategic initiatives at the direction of the General Counsel, including those involving mergers, acquisitions, joint ventures, or other organizational transactions.
Required:
- Juris Doctor (JD) from an accredited law school.
- Active license to practice law in Virginia or the ability to obtain a corporate counsel certificate from the Virginia Board of Bar Examiners.
- Minimum of eight (8) years of legal experience, either in a law firm or in-house, with at least five (5) years of experience focusing on healthcare law.
- Strong contract drafting, negotiation, and risk assessment skills.
- Substantial experience applying healthcare regulatory law in a transactional and operational context, including regular involvement with laws and regulations such as HIPAA, Stark Law, Anti‑Kickback Statute, False Claims Act, and related federal and state healthcare compliance requirements.
- Demonstrated ability to engage credibly and independently with board members, C-suite executives, and physician shareholders, including the ability to deliver candid legal counsel, navigate competing interests, and build lasting relationships with senior stakeholders.
- Exceptional business judgment and executive presence, with a track record of translating complex legal risk into clear, actionable guidance for non-legal audiences at the highest levels of an organization.
- Experience supervising legal staff and managing the workflow of a legal team, including demonstrated ability to set priorities, develop talent, and hold direct reports accountable for results.
Preferred:
- Prior in-house counsel experience in a complex, multi-site healthcare organization, with direct exposure to board governance and physician partnership structures.
- Prior experience advising a board of directors or governing body, including preparation of board materials and participation in board or committee meetings.
- Experience advising on mergers, acquisitions, joint ventures, or other complex organizational transactions in a healthcare setting.
