Duties:
Provide advice and representation to clients on mergers and acquisitions and private equity transactions, including leveraged buyouts, majority and minority investments, spinouts, take-private transactions and various corporate governance matters. Advise companies and financial sponsors in technology, life sciences, healthcare and telecommunications industries, among others. Draft, negotiate, and review securities and asset purchase agreements, merger agreements, commitment letters, guarantees, operating agreements and various other transaction and corporate governance documents. Supervise senior, mid-level, and junior associates and review their work. Participate in marketing and client pitches. Participate in the interview process of summer and lateral associates.

Education + Experience Requirements
JD and 9 years' experience as a Lawyer or Associate in M&A and/or Private Equity.

Special Skills:
Must be admitted to practice law in the state of New York. Must have experience in each of the following: 1. Drafting and negotiating complex stock purchase, asset purchase, merger and investment agreements for cross-border transactions in the healthcare, telecommunications, datacenter, digital infrastructure, and cryptocurrency spaces; 2: Analyzing nuanced corporate governance and investment structuring matters, including in connection with hostile takeover activity and shareholder activism defense strategy; 3. Counselling clients on legal issues related to majority and minority investments by sovereign wealth funds, public company mergers and acquisitions in the biopharmaceutical space, reverse mergers, spinouts, and take private transactions; 4. Managing capital market transactions, including IPOs, private placement financings, bought deals, and other prospectus offerings in the tech, banking and mining industries; and 5. Advising family offices and PE funds on ECVC and late-stage investments in the tech and life sciences sectors.
