Description:
A Global Law Firm is seeking an Experienced UCC Attorney to join the Global Finance team in New York. Ideal candidates will have with a deep understanding of Article 9 and at least 10 years of relevant legal experience.This position will work on UCC issues to include:
- Advising on all matters relating to the UCC and commercial finance, including the structuring of transactions.
- Reviewing transactional documents.
- Focusing on collateral and intercreditor issues in a broad range of financing transactions, including syndicated loan facilities, bridge financings, asset-based credit facilities, notes offerings, mezzanine loans and fund financings.
- Advising on collateral matters with respect to personal property governed by Article 9 of the Uniform Commercial Code as well as personal property subject to other statutes.
- Advising debtors and lenders in restructurings and insolvency proceedings.
- Advising on third-party opinion letters and contract law matters, especially online contracting, plain English drafting, contract drafting, and boilerplate.
