Summary of Position:
An Independent Exploration and Production Company is multi-basin exploration and production company and is Colorado's first carbon-neutral oil and gas producer. The Company is conducting a search for an experienced, motivated individual with excellent academic and professional credentials to fill the position of Counsel – Corporate & Securities.

This position will be responsible for providing sophisticated legal support focusing on securities law, SEC and NYSE reporting and compliance, and corporate governance matters, and support the legal team in other areas, including subsidiary management, investor relations, marketing and strategic transactions.

Primary Job Responsibilities:
  • Support the preparation of securities filings (e.g., 10-Ks, 10-Qs, 8-Ks, Section 16 filings, and proxy statement) and securities-related legal documentation for M&A transactions, with outside counsel support as needed.
  • Support General Counsel in advising the board of directors on corporate governance and improving board processes and practices, including the preparation of board materials, minutes, and governance policy updates.
  • Lead the planning and project team for the annual meeting of stockholders.
  • Assist with subsidiary management, including the ongoing compliance, liquidation, dissolution, reorganization and intercompany transactions of all corporate entities and subsidiaries.
  • Provide legal support and advice in connection with the Company's ESG Program, including review of the Company's annual Sustainability Report.
  • Develop and administer formal training initiatives relating to the securities and governance subject matter areas.
  • Provide legal support on (i) business development transactions, including mergers, acquisitions, partnerships, and other investments, and (ii) capital markets transactions, including debt offerings, credit agreements, and other treasury related matters. This includes support of due diligence, transaction negotiation and drafting, and ongoing post-closing legal and integration support, as needed.
  • Keep current on applicable laws, regulations, and enforcement actions to identify emerging trends and risks; keep senior management informed of trends and risks; with chief responsibility for drafting and implementing related policies, procedures, and training programs as needed.

Knowledge/Skills/Competencies
  • Extensive knowledge of corporate and securities law for public companies, particularly disclosure requirement periodic filing review and related '34 Act-related matters.
  • Team player with the ability to work with all levels of the organization, other in-house counsel, and outside counsel.
  • Ability to foster good business relationships (internally and externally).
  • Excellent written and verbal communication skills.
  • Strong ethical compass and a commitment to compliance with laws and regulations.

Education & Experience:
  • J.D. from an accredited law school, active bar license such to comply with Texas in-house practice rules.
  • 3+ years of relevant work experience in a law firm and/or in-house, preferably in corporate securities, M&A, investor relations, executive compensation, capital and debt financing, and corporate governance.
  • In-house legal experience at an oil and gas public company is strongly preferred, but not required.

Travel Requirements:
  • Work is performed at a CIVI location Tues-Thurs with an option to work remotely on Mondays and Fridays.
  • Schedule: traditional 40-hour workweek or alternative schedule of 9 hour works days M-Thurs and 4-hour workdays Friday.
  • Occasional travel may be required to the An Independent Exploration and Production Company corporate offices, along with field locations and work sites.
