Position Overview:
We are seeking a well-rounded attorney to be part of a small commercial legal team responsible for providing legal advice and support to North America Sales and Procurement. You will review, negotiate and draft third-party service provider agreements to support business initiatives while mitigating risk to An American Multinational Software Corporation. You will manage technology (SaaS, software, hardware, PaaS), professional services, HR benefits, logistics, and outsourcing agreements.?You will summarize legal issues into actionable advice for Procurement, while also participating in template drafting and improvement projects to create efficiencies and repeatable processes. We are looking for extensive knowledge of legal language and practices, and excellent communication skills.

You will report to the Senior Manager, Senior Corporate Counsel – Direct Sales & Procurement, and this role is hybrid, working from our Denver, San Francisco, or Montreal offices.

Responsibilities:
  • Review, negotiate and advise on multiple legal matters such as intellectual property, liability, indemnification, AI/ML, data privacy and security issues and general risk related to third-party service provider engagements and contracts
  • Draft and keep Procurement contract templates current and take a pro-active approach to streamlining language and assist stakeholders with drafting concise contract language
  • Engage at all levels to support and enable company initiatives leveraging third-party service provider engagements
  • Work collaboratively with other teams who support several aspects of our vendor life-cycle management process
  • Be adept a working with other legal teams and subject matter experts including product, data, privacy, AI, IT, marketing and compliance teams
  • Partner with Legal colleagues in different geological regions to provide Procurement with advice, method of engagement, contract templates, and processes with the goal of building/maintaining a company-wide approach to managing risk and third-party service provider engagements
  • Balance legal strategy and tactical needs
  • Review, negotiate and support direct sales deals
  • Contribute to department wide initiatives and programs

Minimum Qualifications:
  • JD from an accredited university and bar membership in good standing
  • 7+ years of combined law firm and in-house experience with a global public company or experience working with Internet or large technology companies
  • Experience as the primary drafter and negotiator on a wide range of supplier and customer technology transactions
  • Experience negotiating contracts involving complex IT agreements with very large industry players, intellectual property ownership concerns, SaaS, professional services, privacy laws, data security, and AI/ML
  • Work independently, manage multiple deals and requests at once, ability to navigate effectively through ambiguity
  • Able to present concise information to senior leaders, including drafting risk memos
  • Practical legal judgment and strong analytical and problem-resolution skills
  • Think strategically and give sound advice appropriately weighing legal and business objectives
  • Ability to work East Coast hours a plus

You will manage contracts relating to technology (software services, software, computer hardware, service platforms), professional services, employee benefits, logistics and outsourcing. You will summarize legal issues into practical advice for procurement, while participating in drafting models and improvement projects to create efficient and repeatable processes. You must have extensive knowledge of legal language and practices, as well as excellent communication skills.

You will report to the Senior Director, Senior Business Advisor – Direct Sales and Procurement. This role is hybrid and you will work from our offices in Denver, San Francisco or Montreal.

Responsibilities:
  • Review, negotiate and advise on multiple legal matters such as intellectual property, liability, compensation, artificial intelligence and machine learning, data protection and security, as well as general contract risks and commitments from third-party service providers
  • Draft and maintain procurement contract templates, taking a proactive approach to simplifying language and helping stakeholders draft concise language for contracts;
  • Engage at all levels to support and enable company initiatives that leverage third-party service provider engagements;
  • Work collaboratively with other teams that support multiple aspects of the supplier lifecycle management process;
  • Know how to work with other legal teams and subject matter experts, including product, data, privacy, AI, IT, marketing and compliance teams
  • Establish partnerships with legal colleagues across geographies to provide advice, engagement methods, contract templates and procurement processes, with the aim of establishing/maintaining a comprehensive risk management approach and commitments from third-party service providers
  • Balancing legal strategy and tactical needs
  • Review, negotiate and support direct sales agreements
  • Contribute to department-wide initiatives and programs

Minimum Requirements:
  • JD . obtained from a properly accredited university and bar;
  • At least 7 years of combined law firm and in-house experience at a global public company or experience working with online or large technology companies
  • Experience as a lead drafter and negotiator in a wide range of technology transactions with vendors and customers
  • Experience negotiating contracts involving complex IT agreements with very large industry players, intellectual property concerns, software services contracts, professional services, privacy laws, security data and artificial intelligence / machine learning
  • Work independently, handle multiple transactions and requests at once, navigate ambiguous situations effectively
  • Ability to present concise information to management, including writing risk notes
  • Practical legal judgment and strong analytical and problem-solving skills
  • Think strategically and provide sound advice taking into account legal and business objectives
  • Ability to work a schedule determined by East Coast hours is a plus
