We are looking to appoint a Corporate Counsel, Part Time to join our Legal team!

The US Corporate Counsel will be our sole legal counsel in the US. You will report to the Group General Counsel in Australia. As a key member of the global legal team you will work closely with our Sales, Finance, IT, Marketing, Product and other Operations Teams in the US while supporting A Digital Gift Cards and Vouchers Online Company business on a global scale.

This is a flexible, permanent part time role of 3 - 4 days a week (depending upon the preference of the candidate), working from our San Francisco or New York City office near Midtown.

The Role You'll Play:
  • Give accurate and timely counsel to senior leadership on a variety of legal topics with a focus on general commercial, data protection, employment and intellectual property law.
  • Partner and collaborate with the business to understand pressure points, strategy and objectives and effectively communicate risks and legal issues involved in any decision.
  • Research and evaluate different risk factors regarding business decisions and operations.
  • Liaise with external counsel with respect to litigation matters.
  • Apply effective risk management techniques and offer practical advice on possible legal issues.
  • Communicate and negotiate with external parties including regulators, external counsel, public authority and others creating relationships of trust.
  • Assist with the development of internal governance policies and compliance monitoring.
  • Draft agreements, contracts and provide other legal advice to assist the leadership team in protecting the company's legal rights.
  • Assist with policy development that serves the business both regionally and globally.
  • Deal with complex matters with multiple stakeholders.
  • Provide clarification on legal language or specifications to everyone in the organization.
  • Maintain current up-to-date knowledge of changes in legislation and contribute to the expansion of the legal function's knowledge base.
  • Draft legal advice, maintaining documentation, ensuring effective and efficient record keeping systems.
  • Engage external counsel when necessary in supporting other legal requirements as required.
  • Facilitate transparency, insights and demonstrate trust, across the functions and regions to optimize, leverage and underpin the operating model.

What Are We Looking For?
  • JD from a leading program with strong academic credentials, being in good standing to practice and a minimum of 3 years in an established law firm or in-house at a technology entity, preferably software or SaaS, focused on commercial transactions.
  • Exceptional interpersonal skills to build relationships with key stakeholders.
  • Managing ambiguity and complexity in a cross-functional/hybrid environment.
  • Strong work ethic with a can-do attitude.
  • Ability to provide practical advice with regard to a wide variety of issues involved in outbound and inbound commercial transactions.
  • Expertise in drafting, negotiating, and maintaining a wide variety of commercial agreements typical to the technology - including SaaS sector, such as sales agreements, NDAs, reseller and other channel partner agreements, and technology partnership agreements.
  • Ability to work with Sales, Finance and IT teams collaboratively.
  • Ability to work independently and collaboratively, with an upbeat can-do work ethic where you can take ownership and have fun.
  • Experience in competition and consumer, technology and privacy/data protection laws to include financial services and payment regulations.
