Job Overview:
Working closely with the General Counsel, the Corporate Counsel will identify and oversee legal issues across the company. Additionally, the Corporate Counsel will assist with A Retail Company privacy and data security, corporate governance, compliance requirements, contract negotiating, mergers and acquisitions, among other things. This role requires excellent organizational skills as well as sharp acumen to strategically navigate the complex legal issues of A Retail Company business model.

Responsibilities:

Draft, review and negotiate contracts, agreements, and real estate leases/ amendments, including agreements relating to merger and acquisition work.
Consult with business leaders on legal risks with current and future product offerings across jurisdictions.
Advise on compliance with US securities laws, including annual and quarterly reports on Forms 10-K and 10-Q, and assist in the preparation and filing of various SEC filings.
Manage outside counsel.
Participates in defense of lawsuits and represent A Retail Company in legal and administrative proceeding as necessary.
Maintain up-to-date knowledge of laws and regulations, standards, industry trends, and develop best practices.
Set the tone of ethical conducts.
Create associations of trust and respect with key stakeholders.
Performs other duties as assigned.

Qualifications:

Juris Doctor from an accredited law school, current member in good standing of a state bar.
Three years of experience in the practice of law.
Well-versed in the retail and/or tech space.
Diverse experiences and backgrounds are highly valued.
Privacy and data security experience.
Consumer Protection experience.
Knowledge and understanding of the law and related terminology.
Ability to influence internal and external stakeholders and capable of building consensus using the voice of customers.
Organized and detail oriented.
Diplomatic with the ability to read a room.
Transparent and ethical.
Strategic acumen.
