Primary Roles and Responsibilities
  • Draft and negotiate the full range of business contracts, including non-disclosure agreements, letters of intent, purchase agreements, leases, licenses, consulting agreements, service agreements, statements of work, terms of sale and amendments.
  • Conduct and coordinate due diligence for potential acquisitions to make sure that all aspects of an acquisition target's business operations are considered, and any concerns addressed as part of diligence process, and assist with onboarding the business after closing:
    • Update and maintain the Company's standard terms of purchase and sale to ensure that the Company has enforceable terms if there is no signed contract.
    • Ensure that the Company receives copies of all fully executed documents and these are loaded onto the Contract
    • Management Database with appropriate alerts and reminders.
    • Working with the General Counsel ensures the Company's compliance with all gaming regulatory requirements, including maintaining copies of all reports submitted to regulators and documenting and formalizing the Company's compliance processes.
  • Oversee and implement the Company's anti-corruption policy training and due diligence process for new distributors, customers, suppliers and agents.
  • Assist the General Counsel with corporate governance for the company, including entity creation, foreign entity filings and drafting of corporate policies and procedures.
  • Oversee the Company's intellectual property filings and renewals.
  • Review and advise on statements made in the Company's marketing materials and legal documents on the Company's websites.
  • Experience and ability to advise on employment law matters is a plus.

Requirements:
Experience and Education:
  • Juris Doctorate from an ABA accredited law school.
  • Member in good standing of the Ohio Bar or ability to become a member of the Ohio Bar within a reasonable period.
  • 3-5 years of comparable attorney experience in a law firm or as in-house counsel.
  • Requires complete discretion and ability to maintain confidential information.
  • High attention to detail and ability to manage competitive priorities and deadlines.
  • Demonstrates the ability to think and work independently and creatively.
  • Excellent written and oral communication skills and ability to work with all levels of management, including the executive team.
  • Ability to develop and implement effective procedures and improvements.
  • Ability to meet deadlines and report progress or concerns to the General Counsel in a timely manner.
  • Ability to work in the office with limited direct supervision and respond promptly to all requests.
  • Excellent interpersonal skills, ability to work well in teams, sound legal judgment and strong work ethic required.
