Description:
Scope:We are seeking a seasoned and business-savvy Corporate Counsel to join our Legal team at a leading property and casualty auto insurance company headquartered in Miami, Florida. This role will focus exclusively on insurance regulatory compliance, corporate governance, and business transactions. The ideal candidate will have deep familiarity with the legal and operational landscape of P&C insurance and bring a proactive, solutions-oriented mindset to supporting internal stakeholders and guiding executive leadership on legal risk.
This position is hybrid, and includes both in-person and remote work days.
Key Responsibilities:
- Provide legal counsel on issues impacting the company's P&C insurance operations, including compliance with state insurance laws, regulatory filings, and coordination with Departments of Insurance.
- Draft, review, and negotiate insurance-related business agreements, including vendor contracts, licensing agreements, and reinsurance or MGAs/TPAs as applicable.
- Advise on corporate governance matters such as board documentation, entity maintenance, corporate filings, and internal policy development.
- Support the company's regulatory strategy, including market conduct exam responses, rate/form filings, and oversight of compliance reporting requirements.
- Monitor evolving insurance regulations and ensure timely internal communication and compliance adaptation.
- Collaborate with cross-functional departments (Product, Claims, Underwriting, Risk) to identify and mitigate regulatory risks.
- Manage interactions with regulators and outside counsel as needed.
- Assist with corporate structuring, expansion into new jurisdictions, or licensing initiatives.
Qualifications:
- J.D. from an accredited law school and active license to practice law in at least one U.S. jurisdiction.
- Minimum of 5+ years of legal experience (in-house or law firm), with a strong background in employment and business law. Experience in insurance, financial services, or regulated industries preferred.
- Solid understanding of property and casualty insurance operations is highly desirable.
- Proven ability to work independently, exercise sound judgment, and balance multiple priorities in a fast-paced environment.
- Exceptional interpersonal, written, and verbal communication skills.
- Experience managing or coordinating outside counsel is a plus.
- Familiarity with Florida Office of Insurance Regulation (OIR) and other state regulatory bodies.
- Experience supporting internal audits or risk programs related to insurance.
