One of Crain's New York "Best Places to Work," A Boutique Law Firm Servicing the Entertainment and Arts Communities is seeking a mid-level corporate associate for our Corporate Group. Our Corporate Group clients include investors, early-stage startups, growth stage companies and recognized industry leaders, with a particular focus in the entertainment, technology, media and hospitality industries. We are particularly interested in candidates with a broad corporate background, with a preference for candidates with experience working with one or more of the following: emerging-growth companies, media and entertainment-oriented ventures (including agencies, production companies, content creators and talent), in connection with corporate governance, venture capital financings, the formation of joint ventures, corporate structuring and mergers and acquisitions. We expect our associates to be able to work independently, juggle numerous matters simultaneously, and have strong client relations skills. Attorney must be admitted to practice in New York.
Primary Job Functions:
- Draft and negotiate corporate documents, including articles of incorporation, multi-party operating agreements, partnership agreements, consents, by-laws, etc. and transactional documents including all aspects of purchase and merger agreements, and related agreements.
- Advise growth-stage companies and entrepreneurs in organizing, structuring and financing new business ventures, with a focus on high-growth technology companies and media and advertising business.
- Handle and manage transactions from beginning to end.
- Perform extensive due diligence and handle and/or supervise preparation of disclosure schedules.
- Evaluate proposed business structures and relationships for potential legal and structural issues.
- Supervise junior associates.
- Additional responsibilities as assigned.

Education and Experience:
- 4 – 6 years of law firm experience in a Corporate Group.
- Membership in the New York Bar is required.
