Job Description:
As a Corporate Associate at A Business Litigation Law Firm, you will counsel clients on a broad array of legal matters including corporate transactions, mergers and acquisitions, business formation, and compliance issues. Your expertise will be pivotal in navigating the challenges our clients face in a dynamic business environment.

Key Responsibilities:
  • Advise and represent clients in the formation of business entities and during business negotiations.
  • Draft, review, and negotiate a wide range of legal documents related to corporate transactions including shareholder agreements, partnership agreements, service contracts, buy-sell agreements, etc.
  • Negotiate and draft commercial contracts across a wide spectrum of firm clients, as well as assist on corporate compliance matters.
  • Handle mergers and acquisitions, including due diligence, drafting transactional documents, and overseeing closing procedures.
  • Represent the interests of businesses in disputes and litigation, working closely with our litigation department.
  • Stay abreast of changes in laws that affect business clients, particularly those based in New York.
  • Develop strategies for risk management and compliance protocols.
  • Foster and maintain client relationships, ensuring that all legal assistance is tailored to individual client needs.

Qualifications:
  • Juris Doctor (JD) from an accredited law school.
  • Admitted to practice law in the State of New York.
  • 3-6 years of experience in business law, with a strong foundation in corporate transactions and business litigation.
  • Proven track record of individual initiative and successful handling of complex legal matters.
  • Excellent analytical, negotiation, and communication skills.
  • Detail-oriented with an ability to work autonomously and within a team.
  • Proficiency in legal research platforms such as Westlaw or LexisNexis.
