Summary:
The Mountain Resorts Legal team is seeking a Contracts and Leasing Counsel to join our team. The Contracts and Leasing Counsel will be responsible for managing the commercial contracting and commercial and retail leasing portfolios across the enterprise. They will report to the Senior Contracts Counsel and will have 3 Contract Analyst direct reports. The Contracts and Leasing Counsel will work closely with legal and business teams to negotiate and draft a wide variety of contracts and provide advice with respect to various corporate and commercial transactions. The attorney will possess a willingness to learn and understand internal business, operational, financial and technical matters to provide sound legal advice and risk analysis, while simultaneously assisting business clients in achieving their commercial objectives.

Responsibilities:
  • Independently review, draft, and negotiate a wide variety of commercial contracts (including master service agreements, professional services agreements, strategic sponsorship agreements, NDAs, construction services agreements, and technology agreements) and leases (both as landlord and tenant);
  • Interpret and effectively explain nuanced contractual terms, conditions, rights and obligations to business teams;
  • Provide strategic legal advice and deal management at all phases of the commercial and retail leasing process;
  • Proactively identify trends in legal issues to strategically mitigate risk across the contract and leasing portfolios;
  • Collaborate with Procurement, Commercial Leasing, Retail Leasing, Mountain Operations, Information Security, and other company departments to assist in developing and advising on policies, procedures and best practices, to add value and reduce legal risks to the Company;
  • Assist in the preparation and presentation of legal training to business teams;
  • Contribute broadly to the leadership of the businesses, working effectively with senior management and creating strong trusted advisor relationships with the business leaders; and
  • Other duties as assigned.

Qualifications:
  • Bachelor's degree and JD required.
  • Must have an active state bar license. If you have a non-Colorado state bar license, the successful applicant must qualify for a Colorado single-client bar license (or full Colorado bar license).
  • A minimum of 4 years of relevant legal experience.
  • Experience leading complex commercial and/or leasing negotiations either in a law firm or corporate/in-house legal department.
  • Strong drafting and negotiating skills with the ability to understand and simplify complex concepts, issues and deal structures.
  • Agile and flexible thinker, with ability to learn new areas of law and the business.
  • Clear and concise communicator (written and oral) with all levels within the organization.
  • Strong organizational and time management skills.
  • Demonstrated ability to work under high-pressure conditions and to handle urgent situations with patience and diplomacy.

Preferred Experience:
  • Experience with various Contract Lifecycle Management platforms.
  • Familiarity with technology and data protection agreements.
  • Managerial or supervisory experience.
