The Emerging Companys Counsel & Emerging Company Law Firm, a boutique law firm devoted to advising technology-enabled emerging companies, is actively seeking an experienced Corporate Attorney to join our team.Qualifications:
- JD plus admission and good standing in state of residence or the state of Wisconsin
- 5-12 years' total direct experience as a practicing attorney in corporate finance and VC transactions
- Extensive experience negotiating, drafting, and reviewing documents related to corporate and funding matters for emerging technology companies, including but not limited to Seed and Series transactions and equity issuances
- Excellent drafting and negotiation skills
- Strong business acumen
- Orientation toward results and customer service
- Prior experience leading and scaling teams preferred
Responsibilities:
The Senior Attorney will support our clients and the firm in the following activities:
- Counsel emerging company startups on a variety of early-stage issues, including founder issues, funding strategy, and equity matters
- Maintain knowledge of market terms for venture capital transactions
- Prepare and negotiate Series AA through Series D investment-related agreements and documents, including working with NVCA, Series Seed, and SAFE document sets
- Maintain detailed knowledge of Regulation D and market terms in angel and venture capital transactions
- Support M&A transactions in the technology and venture capital spaces
- Facilitate regulatory matters facing funds and issuers, including the Investment Advisers Act of 1940, The Securities Act of 1933, Reg D safe-harbors, and state blue sky law compliance
- Utilize and leverage NVCA forms
- Address issues facing clients whose primary asset is intellectual property, including IP ownership, IP development, licensing agreements, tax matters, employee matters, and similar concepts
- Apply convertible debt, preferred equity issuances, and related financing tools to achieve client objectives
- Advise companies regarding corporate governance and fiduciary duty-related matters
- Prepare, review, and edit company sale waterfall spreadsheets
