The Attorney – Contracting & Corporate Affairs is responsible for owning Intellivo's commercial contracting function while serving as a key extension of the Chief Legal Officer across corporate governance, compliance, and enterprise legal matters. Operating under the CLO's direction, this role manages day-to-day legal execution, contract workflows, and delegated legal initiatives, providing sound judgment and business-aligned guidance that mitigates risk and supports scalable growth. This position requires exceptional discretion, strong commercial acumen, and the ability to operate effectively in a dynamic health-technology environment.
Compensation:
Base Salary: $100,000 – $130,000 annually
Responsibilities:
Contracting
- Serve as the primary legal owner of the contract lifecycle, from intake and negotiation through execution, renewal, and termination
- Draft, review, negotiate, and manage a high volume of commercial agreements, including:
- Customer and client services agreements
- Vendor and supplier agreements
- Confidentiality and non-disclosure agreements
- Business Associate Agreements (BAAs)
- Licensing, data-use, and partnership agreements
- Statements of Work and amendments
- Maintain and continuously improve contract templates, playbooks, and standard terms to streamline negotiations and reduce cycle time
- Partner closely with Sales, Finance, Technology, and Operations to ensure contract terms align with pricing models, delivery capabilities, data use, and risk tolerance
- Audit executed contracts and active agreements to confirm compliance with negotiated terms, service expectations, pricing, and deliverables, and identify discrepancies, underperformance, or unmet obligations
- Provide clear guidance on deal structure, fallback positions, and risk tradeoffs to enable informed business decisions
Corporate Governance & CLO Legal Support
- Serve as a direct legal support partner to the Chief Legal Officer, assisting with execution of corporate governance, compliance, and enterprise legal initiatives
- Handle delegated legal workstreams to allow the CLO to remain focused on strategy, board, and enterprise risk
- Maintain strict confidentiality and judgment consistent with executive-level exposure
- Assist the CLO in preparing compliance reports, policy updates, and internal legal communications to executive leadership and stakeholders
Risk Management & Issue Resolution
- Identify legal risks and recommend practical, business-focused mitigation strategies
- Support investigations, disputes, or pre-litigation matters as needed
- Collaborate with internal stakeholders to build scalable processes that reduce friction and protect enterprise value
Regulatory & Compliance Support
- Advise internal stakeholders on compliance with applicable federal and state laws, including HIPAA, data privacy, employment law considerations, and healthcare regulatory obligations
- Support development and updates of corporate policies, standard operating procedures, and compliance frameworks
- Assist in responding to regulatory inquiries, audits, and required filings
Qualifications:
Experience & Technical Skills
- Active license to practice law
- 2-4+ years of legal experience
- Exposure to HIPAA, data privacy laws, and risk-management practices
- Preferred experience in subrogation, health-tech, healthcare, insurance or related fields
- Preferred experience in private-equity portfolio company or high growth environment
Professional Skills:
- Strong understanding of contract law, corporate governance, and regulatory matters
- Ability to draft and negotiate contracts with precision and clarity
- Outstanding communication skills (oral & written) and ability to influence cross-functionally
- High attention to detail and disciplined follow-through
Education:
Juris Doctor (JD) from an accredited law school
