Job Summary:
A National Law Firm seeks an Associate to join the Tax Credit Finance group of the Firm's national Real Estate practice. This dynamic role is ideal for an attorney with experience or interest in developing their knowledge and skills in tax, real estate, and lending while working closely with experienced partners.

Responsibilities:
  • Conduct due diligence and prepare diligence checklists and memoranda with respect to historic (HTC), new markets (NMTC), and renewable energy (RETC) tax credit-advantaged transactions
  • Draft, review, and negotiate operating agreements, loan and security documents, leases, guarantees, tax and state law opinions, forms, and certificates
  • Negotiate and structure complex restructuring, workout, and exit arrangements
  • Advise tax equity investors, tax credit purchasers, project sponsors and lenders regarding HTC, NMTC, and RETC tax structures and related tax and commercial issues
  • Research new changes to the tax code, regulations and related guidance, and draft memorandum addressing client issues
  • Work collaboratively with a team of senior and junior attorneys and paralegals across the national firm

Qualifications: Skills and Abilities
  • Excellent research, writing, analytical, and communication skills
  • Possess a general working knowledge of classification of different tax entities such as partnerships and associations taxable as corporations
  • Knowledge and general understanding of project or tax credit finance
  • Strong organizational and matter management skills
  • Work effectively under pressure and to meet deadlines
  • Excellent oral and written communication skills
  • Ability to apply critical thinking and possess a high attention to detail
  • Work professionally and collaboratively with partners, associates, paralegals, and support staff
  • Self-motivated and proactive with a strong work ethic
  • Ability and confidence to work independently while thriving in a high-pace, collaborative, team environment

Qualifications: Education and Experience
  • Must be currently admitted to practice in Washington, DC with an active bar license in good standing or able to be admitted within the first year of employment
  • 2+ years' experience in practice of project finance, tax credits, tax, or real estate law preferred
  • LL.M. in taxation preferred but not required

Position Information:
Status: Exempt
Salary Range: $160,000-$200,000 base salary, commensurate with education and experience
Work Arrangement: Hybrid 3:2
