Description:
The Associate General Counsel, Transactions - Antitrust, will serve as a key legal advisor on the Transactions Legal Team, providing expert guidance on antitrust and competition law issues related to mergers, acquisitions, licensing, and other strategic transactions. This role will partner closely with the Business Development and Acquisitions team and legal colleagues to support complex transactions and ensure compliance with global competition laws.Key Responsibilities:
- Advise on antitrust and competition law aspects of mergers, acquisitions, divestitures, joint ventures, collaborations, and licensing transactions.
- Conduct antitrust risk assessments and due diligence for prospective transactions.
- Advise on antitrust-related provisions in transaction documents.
- Manage and coordinate antitrust filings and notifications with regulatory authorities (US and ex-US).
- Support responses to government inquiries, investigations, and second requests.
- Monitor and communicate developments in antitrust law relevant to mergers, acquisitions, and licensing transactions.
- Develop and deliver internal training on antitrust topics for the legal team and broader business partners.
- Collaborate with external counsel and cross-functional teams as needed.
- Provide clear advice to clients, including management, ensuring that advice maximizes the potential of our pipeline.
- Provide legal guidance, supervision, and support to paralegals and legal support staff.
Qualifications:
Education Requirements:
- Juris Doctor (JD) degree from a top tier accredited law school.
- Active license to practice law in at least one U.S. state.
Basic Qualifications:
- Excellent legal analysis skills and crisp, concise communicator
- 7+ years of relevant industry experience.
- Significant experience in antitrust and competition law, with a focus on mergers, acquisitions, and licensing transactions, preferably in-house or at a major law firm or relevant government agency.
- Strong understanding of global antitrust regulatory frameworks and processes.
- Strong sense of urgency and drive for successful business outcomes.
- Ability to manage multiple complex projects and work collaboratively in a team environment.
- Honed judgment and ability to identify and quickly address critical issues.
Preferred Qualifications:
- Experience in advising pharmaceutical companies on competition law matters that arise in merger, acquisitions, and licensing transactions.
