Job Responsibilities:
- Draft, review, negotiate, and interpret a wide variety of commercial agreements.
- Partner with the US global marketplace's business team to advise them on rules and regulations associated with offerings conducted through our funding portal and broker-dealer.
- Managing legal and regulatory risks in a thoughtful and commercially practicable manner.
- Own and drive legal structuring of novel tokenized investment products.
- Prepare and review materials for compliance with various SEC/FINRA rules and complete certain regulatory filings through the SEC's EDGAR system.
- Closely support internal crypto-oriented teams by providing day-to-day legal and business support, analyzing emerging blockchain issues, and proposing unique product strategies.
- Lead and manage transactional work, including corporate fundraising, fund management and M&A
Qualifications:
- 3-5+ years of related law firm and/or in-house experience at a financial services or crypto company, or a regulator (FINRA/SEC/CFTC).
- Strong understanding of securities laws and regulations with a familiarity with, and interest in, crypto law.
- BA/BS degree; JD degree; NYS Bar Admission.
- Excellent written and verbal communication skills with superb judgment.
- Adaptability and a willingness to work on a broad range of matters and take on projects outside of core areas.
- Live in, or ability to commute to, office located in NYC 4 days a week.
- Critical: Self-starter, hungry, ambitious, and pragmatic.
