The Associate General Counsel is responsible for members of the legal team, processes, and capabilities necessary for A Primary Care Medical Centers for Seniors to execute best-in-class legal services. In addition, directs and coordinates members of the legal team, as well as legal team processes and policies for the Chen Family of Companies, and advises the company, its employees, directors, and officers with respect to the legal implications of decisions, strategies and transactions.

Essential Job Duties/Responsibilities:
In this role you execute strategies to drive results and harmonize the company's commitment to compliance with legal and regulatory obligations, while balancing our urgent pursuit of providing our patients with more good days.   • Manages legal matters, develops and leads corporate legal strategy to promote and protect the company's matters and interests, and develops/implements corporate and legal policies, procedures and programs.
  • Oversees the delivery of legal services and resources to accomplish corporate goals, strategies and priorities.
  • Provides expert legal advice, analysis and guidance to executives, senior management and the Board on various matters such as legal rights, and new and existing laws that do or will affect the company.
  • Creates associations of trust and respect with key business stakeholders to ensure best practice for assessing company initiatives and business processes and managing risk.
  • Manages Company legal costs and oversees outside counsel spend.
  • Serves as a key adviser on issues of governance, risk management, legal policy implementation, legal and regulatory issues, federal and state laws, regulations, internal and external communications relating to sensitive legal matters, strategic planning and execution, and special projects.
  • Leads members of the legal department team, including, as applicable, other attorneys, legal assistants and paralegals, and the support they provide to various internal business units, driving, motivating, and directing the team toward the right performance, coaching, and reviewing performance.
  • Plans for and implements career pathing/staff development, succession management and organizational design changes to meet evolving needs of the company.
  • Sets internal governance policies and manages the impact of external legal factors on the company.
  • Performs duties consistent with role, including, but not limited to providing legal advice, conducting legal research and analysis, negotiation, planning and execution, document/contract creation or review, claims investigation, litigation supervision, employee oversight and complex project management.
  • Collaborates with the legal team to effectively communicate projects, regularly updating Chief Legal Officer.
  • Promotes A Primary Care Medical Centers for Seniors vision, mission and values, considering them while developing services, standards and practices.
  • Performs other duties as assigned and modified at manager's discretion.

Knowledge, Skills and Abilities:
  • Demonstrated track record of working with, influencing, and providing counsel to executives and members of senior management team.
  • Strategic thinking with the capacity to make sound decisions and give business and legal advice, at times in a compressed time frame with limited information.
  • Deep understanding of Medicare Advantage risk-based primary care and applicable laws and regulations for both the industry and general businesses.
  • Strong business acumen, including ability to strategize, do root cause analysis and drive process improvement.
  • Ability to work independently and cross-functionally across multiple responsibilities and functions simultaneously in a fast-paced, ever-changing, and challenging environment.
  • Ability to supervise and train employees, to include organizing, prioritizing, scheduling and coordinating work assignments.
  • Ability to analyze and interpret issues and to prepare legal opinions.
  • Superior written and oral communication skills; spoken and written fluency in English
  • Strong negotiation, presentation and legal research skills.
  • Ability to maintain high level of confidentiality and exercise discretion and ethical behavior.

  • Proficient in Microsoft Office suite, including Excel, Word, PowerPoint and Outlook or other word-processing, spreadsheet, database, e-mail and presentation software.

  • Up to date with Continued Legal Education courses (CLE) and proactive about staying informed and self-educating to stay relevant and knowledgeable.
  • Ability and willingness to travel locally, regionally, and nationwide up to 20% of the time.

Education and Experience Criteria:
  • Juris Doctor (JD) from an ABA-accredited law school required
  • Membership in a state bar with-in the United States, preferably Florida
  • Minimum of ten (10) years' experience in law, (previous experience as corporate in-house counsel is a plus)
  • Experience working on matters of corporate governance and with a board of directors
  • Experience with cost-effective management of outside legal resources and litigation
  • Experience defending employment and labor law actions, including familiarity with the EEOC, FMLA, ADA, DOL, FLSA and human resources
  • Experience with motion practice in state and federal court, and experience handling arbitration, mediation, and/or trial practice
  • Experience in, or familiarity with, some of the following areas of law is a plus: intellectual property law, business, transactional, securities, antitrust, computer law and privacy
