Job Summary:
An Israel-Based International Defense Electronics Company is seeking an Associate General Counsel to support two business units (divisions) and serve as the primary counsel for the business with strong experience and expertise in US Government Contracts. The successful candidate will handle associated legal issues, such as those arising from the Federal Acquisition Regulation (FAR) and FAR supplements, solicitations, teaming arrangements, licensing, data rights, contracting and subcontracting terms and conditions, supply chain risk, trade controls and disputes. The position's responsibilities will also encompass managing outside counsel, strategizing on proposals and other strategic business unit decisions, and providing training to business unit personnel on myriad of legal topics. This attorney must demonstrate superior judgment and work product for matters of significant complexity. This attorney must be a leader, a self-starter, and able to work collaboratively across the enterprise. Outstanding organization, client management and written and verbal communication skills are essential. The attorney will also serve as a mentor to colleagues within the greater legal department. The position will report to the Vice President & Deputy General Counsel of Elbit America.

Responsibilities & Tasks:
  • Integrating and partnering with the business leadership team, providing sound legal advice and risk mitigation measures to ensure successful business outcomes.
  • In a generalist manner, advising business on employment law, commercial transactions, trade and ITAR compliance, and other matters involving risk and strategy.
  • Reviewing solicitations, strategizing approaches for responding, drafting sections addressing particularly legal topics, such as data rights and licensing, and “red teaming” proposals before submission.
  • Advising on pursuing or defending commercial/subcontractor disputes, bid protests, and selecting and managing outside counsel when needed.
  • Partnering with business and functional stakeholders on strategic, risk mitigating and compliance focused efforts.
  • Partnering with contracts personnel on complex or risk-sensitive communications, contract modifications request for adjustments, changes under terms and conditions, such as limiting liability, indemnification and grounds for termination.
  • Developing and implementing intellectual property protection strategies, including drafting and negotiating relevant agreements.
  • Strategizing and negotiating teaming and other contractual relationships.
  • Strategizing, advising and leading steps to resolve disputes, and selecting and managing outside litigation counsel when needed.
  • Maintaining currency on US and international commercial contracts legal topics as well as U.S. Government Contracting topics such as Government cost accounting, intellectual property, Other Transaction Authority, Foreign Military Sales, bid protest regulations and caselaw, claims regulations and caselaw, and dispute resolution including mediation, arbitration and other forms of alternative dispute resolution.
  • Participating in and contributing to Legal Department discussions on corporate-wide topics, policies and procedures.
  • Participating in and contributing to Legal Department updates on changing laws and regulations and other continuing education.
  • Other duties as assigned by the Vice President & Deputy General Counsel or Executive Management.

Job Location: The position can be remote and supported from any of the following An Israel-Based International Defense Electronics Company facilities: Ft. Worth, TX, or Merrimack, NH.

Education: Juris Doctorate from an accredited Law School required

Certifications/Licenses:
  • Active membership in at least one state bar required
  • Licensed to practice law in the United States required
  • Ability to obtain and maintain a SECRET security clearance required

Experience Required:
  • 7-12 years of experience as outside Government Contracts counsel or in-house counsel in the aerospace/defense industry
  • Experience advising executive clients on business and transactional matters (contracts, agreements, business strategy)
  • Experience providing counseling on U.S. Government programs, including FAR, DFARS and/or other FAR Supplement experience
  • Knowledge, Skills, Abilities Required:
  • Demonstrated leadership ability, preferably as a counsel for a business segment of an engineering/technology-driven defense or aerospace company
  • Ability to perform the role of hands-on legal generalist
  • Demonstrated ability to interact effectively and collaboratively in a fast-paced and complex organizational structure
  • Experience in complex negotiations with the U.S. Government, Original Equipment Manufacturers (OEMs), suppliers and teammates
  • Strong interpersonal and communication skills
  • Ability to analyze complex fact patterns or case law and provide recommendations in an executive-worthy manner
  • Ability to develop strong client relationships while maintaining an independence appropriate to a compliance function
  • Strong communication skills (written and oral)
